Scope of Work

The Transferor transfers and Transferee accepts responsibility for the planning, execution and administrative duties for the meeting described above. Specific responsibilities to be assumed by Transferee are set forth below. Transferor remains responsible for obligations expressly retained in this Agreement.

Confidentiality

Each party acknowledges that, in the course of performance under this Agreement, it may receive Confidential Information of the other party. Each party shall (a) hold Confidential Information in strict confidence; (b) use it solely to perform obligations under this Agreement; and (c) not disclose it to any third party except as required by law or to the receiving party's employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. This obligation shall survive termination of this Agreement for a period of three (3) years.

Assignment and Transfer

Transferor represents and warrants that it has the authority to transfer the rights and obligations described in this Agreement and that no third-party consents are required to effect the transfer except as disclosed in writing to Transferee. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be binding unless in writing and executed by both parties.
