WHEREAS, Requester desires to schedule and host a synchronous online meeting using the Zoom platform for the purpose set forth below; and

WHEREAS, Host has agreed to provide meeting facilitation, technical hosting, and related services on the terms and conditions contained in this Meeting Zoom Request and Agreement (the Agreement); and

WHEREAS, the parties intend for this document to constitute a binding agreement defining the scope, payment, confidentiality, and other material terms governing the requested meeting.

The Host shall provide facilitation, technical hosting, and related services described below. The parties acknowledge that the Host's responsibilities do not constitute professional advice unless separately agreed in writing.

Late Payment: A late fee of will apply to any invoice not paid within days of issuance. Payments not made when due shall accrue interest at the lesser of the applicable statutory rate or the rate specified above.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least prior to the scheduled meeting. Termination for material breach is effective immediately upon written notice if such breach is not cured within a commercially reasonable period.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information from the other party. "Confidential Information" means nonpublic information disclosed in connection with the meeting, including participant lists, proprietary materials, recordings (if any), and technical settings. Confidential Information does not include information that is (a) publicly known through no fault of the receiving party, (b) rightfully received from a third party without obligation of confidentiality, or (c) independently developed by the receiving party.

The receiving party shall use Confidential Information solely for the purpose of performing under this Agreement and shall not disclose such information to third parties except to its employees or contractors with a need to know, provided such persons are bound by confidentiality obligations no less protective than those set forth herein. The obligations set forth in this section shall survive termination of this Agreement for a period of two years.

LIMITATIONS AND WARRANTIES

Host warrants that it will perform hosting services in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING, ALL SERVICES ARE PROVIDED "AS IS" AND THE HOST DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.
