What the Melissa Business Services Agreement Is

The Melissa Business Services Agreement is a standard commercial contract used to define the relationship between Melissa (the service provider) and a business client for data, software, or professional services. It sets out the parties, scope of services, fees, term, confidentiality, data protection obligations, liability limits, and dispute resolution mechanisms. The document is intended to be a flexible, reusable template that can be customized for specific engagements, while providing clear contractual controls over performance, payment, and the handling of protected or regulated data.

Why a Formal Agreement Matters

A written Melissa Business Services Agreement clarifies expectations, allocates risk, and documents compliance measures that govern service delivery, data handling, payment, and termination — reducing disputes and supporting enforceability under U.S. electronic signature laws.

Why a Formal Agreement Matters

Who Typically Completes This Agreement

The Melissa Business Services Agreement is used by internal stakeholders and external contracting parties who manage services, data, or vendor relationships.

  • Procurement and contracts teams at companies procuring Melissa services, responsible for negotiating commercial and data terms.
  • Legal counsel and outside attorneys who review, revise, and approve warranty, indemnity, and liability language.
  • Operations, IT, and compliance staff who verify technical requirements, security provisions, and data handling obligations.

Use this template when you need a documented, signed contract that assigns responsibilities, protects sensitive information, and creates an audit-ready execution record.

Representative Signers and Roles

Brian Fitzgibbons, COO

A chief operating officer signs on behalf of a small or mid-size buyer to confirm operational acceptance criteria, delivery schedules, and billing terms. The COO typically verifies that service-level commitments align with procurement expectations and that payment terms meet company policy.

Kodi‑Marie Evans, Director

An operations director or systems integrator signs to confirm technical integration responsibilities and data transfer requirements. That signer ensures the contract includes data protection terms, API access descriptions, and any vendor onboarding milestones.

Core Sections to Include in a Professional Agreement

A complete Melissa Business Services Agreement contains clear sections that define work, risk allocation, data handling, financial terms, and lifecycle events such as termination and renewal.

Parties

Full legal names and entity types for each contracting party, including mailing address and a primary contact for notices to avoid ambiguity about who is bound by the contract.

Scope of Services

A precise description of deliverables, service levels, milestones, accepted formats, and deliverable acceptance criteria to limit scope creep and support performance measurement.

Term & Termination

Effective date, initial term, renewal mechanics, and termination rights for convenience, for cause, and for regulatory reasons, including post-termination obligations.

Compensation

Fees, billing frequency, invoicing details, expense reimbursement, late payment interest, and any conditional payments or credits tied to SLAs or milestones.

Confidentiality

Non‑disclosure obligations, permitted disclosures, duration of confidentiality, and carve-outs for required disclosures under law or court order.

  • Omitting data handling specifics or applicable privacy laws can create compliance exposures under HIPAA or state privacy statutes.

Intentional Disregard: Higher penalties for intentional noncompliance.

Practical Examples of Agreement Use

These short examples show how organizations apply a service agreement to common operational scenarios.

Optica Ventures (COO)

Optica Ventures used a standard services agreement to document recurring data feeds and SLAs.

  • The COO confirmed integration milestones and billing cycles.
  • The executed contract provided clear acceptance criteria and reduced follow-up disputes, enabling smoother vendor management and predictable invoicing over multiple quarters.

Fertility Centers (Director)

A healthcare provider customized the service agreement to include PHI handling and a BAA.

  • The director required explicit breach notification timelines.
  • With tailored data provisions and a signed BAA, the provider met HIPAA documentation needs and preserved patient privacy obligations while onboarding the service.

Practical Tips for Accurate, Efficient Completion

Follow established drafting and signing practices to reduce rework and ensure compliance.

Use Legal Entity Names
Always use the full registered legal name and include entity type (Inc., LLC) to prevent enforceability issues and payment delays.
Confirm Signatory Authority
Verify that the signer has authority to bind the organization; request a corporate resolution or POA when authority is not obvious.
Preserve Version Control
Track revisions and label drafts clearly; only send the final agreed version for signature to avoid multiple executed variants.
Attach Exhibits
Include technical exhibits, pricing schedules, and SLAs as numbered attachments to avoid ambiguity about included obligations.
