MEMBER PROFILE AND MEMBERSHIP AGREEMENT

WHEREAS

WHEREAS, Organization Name: (the "Organization") administers the membership program described herein; and

WHEREAS, Member Name: (the "Member") seeks to register as a member and to receive the benefits and services described in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the Organization and the Member agree as follows:

The Member will participate in and receive the services and benefits identified below. The Organization will provide the services described and maintain the membership benefits during the Term.

PAYMENT TERMS

The Member shall pay membership fees and any service fees in accordance with the terms below.

All payments are non-refundable except as expressly agreed in writing. The Organization reserves the right to suspend membership benefits for accounts delinquent beyond the agreed payment schedule until the account is made current.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period specified above. Termination shall not relieve the Member of obligations to pay fees accrued prior to termination.

CONFIDENTIALITY

Each party shall protect Confidential Information of the other party with at least the same degree of care it uses to protect its own confidential information, but not less than a reasonable standard of care. "Confidential Information" includes non-public information disclosed in connection with membership, including but not limited to business practices, member lists, proprietary methodologies, and pricing information. Confidential Information does not include information that: (a) is or becomes publicly known through no breach; (b) is already known by the receiving party without restriction; (c) is lawfully received from a third party; or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees and contractors who have a need to know, provided such persons are bound by confidentiality obligations at least as protective as those in this Agreement. Upon written request or termination, Confidential Information shall be returned or destroyed unless retention is required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State/Province specified by the Organization at time of execution, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes.

ENTIRE AGREEMENT

This document, including any schedules and attachments expressly incorporated, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS AND ACKNOWLEDGEMENTS

By signing below, the Member certifies that the information provided in this Member Profile is true and complete to the best of their knowledge, that the Member consents to the terms of this Membership Agreement, and that the Member authorizes the Organization to use the provided contact information for membership administration and communications.
