What a Members Interest Sale Agreement Is

A Members Interest Sale Agreement is a legal contract used to transfer one or more members' ownership interests in a limited liability company (LLC) from a selling member to a buyer. It documents the identity of parties, the percentage or units sold, purchase price and payment terms, representations and warranties, indemnities, closing conditions, and any required consents from other members or the manager. The agreement also specifies effective date, tax allocations, transition obligations, and post-closing covenants to ensure the transfer complies with the LLC operating agreement and applicable state law.

Why a Clear Agreement Matters for Buyers and Sellers

A Members Interest Sale Agreement clarifies price, allocation of liabilities, and closing procedures, reducing disputes and protecting buyer and seller interests. It ensures compliance with the LLC operating agreement and applicable state rules, and provides evidence for tax reporting and ownership records.

Why a Clear Agreement Matters for Buyers and Sellers

Who Typically Prepares and Signs This Agreement

Typical users include selling and buying members, LLC managers, corporate counsel, and accountants involved in ownership transfers.

  • Selling member: documents sale terms, receives consideration, and confirms authority to transfer interest.
  • Buying member: verifies purchase price, due diligence findings, and post-closing obligations.
  • LLC manager or secretary: records transfer, obtains consents, and updates membership ledger.

Smaller businesses and legal professionals use this agreement to document ownership changes and preserve clear corporate records for governance and tax purposes.

Primary Roles Involved in the Transfer

Selling Member

A selling member must confirm membership interest ownership, disclose any liens or restrictions, and state authority under the LLC operating agreement. They should provide tax forms and cooperate with closing deliverables. Accurate identity and signature block are essential to avoid transfer disputes and tax withholding issues.

Buying Member

A buying member performs due diligence on the LLC's capital accounts, tax allocations, and outstanding obligations. They confirm payment method, obtain requisite member consents, and ensure the purchase price and earn-out or adjustment mechanics are clearly stated to prevent post-closing disputes.

Consent Failures: Unobtained consents can void transfer.
Notarization Omissions: May hinder recordability or enforcement.
Lien Claims: Existing liens can impair buyer's title.

Common Preparation Errors to Avoid

  • Ambiguous consideration: Stating 'fair market value' or 'reasonable compensation' without a precise dollar amount or formula causes disputes and complicates tax treatment.
  • Name mismatches: Using nicknames or inconsistent legal names across documents triggers withholding, delays in recording, and may invalidate the sale.
  • Missing consents: Failing to secure required member or creditor consents breaches the operating agreement and can result in rescission or litigation.
  • Incomplete closing checklist: Omitting deliverables like amended ledgers, releases, or tax forms delays closing and increases legal costs.
