6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full corporate or individual power and authority to execute and deliver this Certificate and to perform its obligations hereunder; (b) the execution, delivery and performance of this Certificate have been duly authorized; and (c) this Certificate constitutes a legal, valid and binding obligation enforceable in accordance with its terms, except as enforcement may be limited by applicable bankruptcy, insolvency or similar laws.

7. TERM; TERMINATION

This Certificate shall remain in full force and effect for so long as the Member holds the Membership Interest, subject to transfer, redemption or termination in accordance with the Agreement. Termination of this Certificate shall not affect any rights or liabilities accrued prior to termination.
