Membership Agreement Declaration

This Membership Agreement Declaration (the "Agreement") is made and entered into as of by and between Member Name: ("Member") and Organization Name: ("Organization").

RECITALS

WHEREAS, Organization administers a membership program (the "Program") that grants certain rights, privileges, and obligations to enrolled members; and

WHEREAS, Member desires to become a member of the Program and to accept the rights and obligations set forth in this Agreement; and

WHEREAS, Organization and Member wish to memorialize the terms of Member's enrollment, payment obligations, transfer restrictions, confidentiality and other material terms relating to membership.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Membership" means the rights, privileges and obligations granted to Member under this Agreement. "Membership Class" means the category of membership selected by Member as described in Section 2. Terms defined elsewhere in this Agreement shall have the meanings ascribed therein.

2. Membership Rights and Obligations

2.1 Membership Class: Member elects membership class: . Organization shall provide the benefits and privileges associated with that class as set forth in Organization's membership policies and this Agreement.

2.2 Member Obligations: Member shall comply with all reasonable rules, policies and procedures of Organization applicable to the Program, pay all fees when due, and refrain from conduct that materially interferes with the Program or other members.

3. Term; Renewal; Termination

3.1 Term: The initial term of Member's Membership shall commence on and continue for a period of unless earlier terminated in accordance with this Agreement.

3.2 Renewal: Unless either party provides written notice of non-renewal at least days prior to the expiration of the then-current term, the Membership shall automatically renew for successive terms of equal duration on the same terms and conditions unless modified pursuant to Section 12.

3.3 Termination for Cause: Organization may terminate Member's Membership for material breach of this Agreement upon written notice and an opportunity to cure within days; if Member fails to cure, Organization may terminate immediately.

4. Fees; Payment

4.1 Fees: Member agrees to pay Organization the membership fee in the amount of $ plus applicable taxes, together with any initiation or processing fees as required.

4.2 Payment Terms: Fees are due in full by or as otherwise specified in an invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and Member shall bear collection costs and reasonable attorneys' fees.

5. Transfer; Assignment

5.1 Transfer Restrictions: Membership is personal to Member and is non-transferable except with the prior written consent of Organization, which consent may be withheld in Organization's sole discretion. Check applicable box:

5.2 Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Organization may assign to an affiliate or successor in interest.

6. Confidentiality

6.1 Confidential Information: Each party acknowledges that certain information disclosed in connection with the Membership may be confidential. Each party agrees to maintain the confidentiality of Confidential Information, to use such information only in connection with the performance of obligations under this Agreement, and not to disclose it to third parties except as required by law or with prior written consent.

7. Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement and the performance of its obligations do not violate any law, agreement or obligation of such party.

8. Indemnification

Member shall indemnify, defend and hold harmless Organization and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Member's breach of this Agreement or Member's negligent or willful acts or omissions in connection with the Membership.

9. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORGANIZATION'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY MEMBER TO ORGANIZATION DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the address set forth below for each party or to such other address as either party may designate by notice in accordance with this Section:

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

12. Amendments; Waiver; Counterparts

12.1 Amendments: No amendment of this Agreement shall be effective unless in writing and signed by both parties.

12.2 Waiver: No failure or delay by either party in exercising any right shall operate as a waiver of that right. A waiver must be in writing to be effective.

12.3 Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Miscellaneous Provisions

14.1 Relationship of Parties: The parties are independent contractors and no agency, partnership, joint venture or employment relationship is created by this Agreement.

14.2 Expenses: Except as otherwise provided, each party shall bear its own costs and expenses incurred in connection with the negotiation, preparation and execution of this Agreement.
