Confidential Information does not include information that (a) is or becomes generally available to the public through no fault of the Applicant, (b) was known to the Applicant prior to disclosure and not subject to an existing confidentiality obligation, or (c) is required to be disclosed by applicable law, provided the Applicant gives the League prompt notice to allow the League to seek a protective order.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement: This Membership Application and Membership Agreement, together with the League's bylaws and any written committee agreements referenced herein, constitutes the entire agreement between the Applicant and the League with respect to membership and supersedes all prior understandings and agreements, whether written or oral.
