MEMBERSHIP ASSOCIATION AGREEMENT

This Membership Association Agreement ("Agreement") is made and entered into as of Effective Date: , by and between Association Name: , an entity with Entity Type: , with principal place of business at (hereinafter "Association"), and Member Name: , an entity with Entity Type: , with primary address at (hereinafter "Member").

RECITALS

WHEREAS, the Association is an organization formed to promote the common professional, educational and charitable interests of its members and to perform the purposes set forth in its governing documents; and

WHEREAS, the Member desires to obtain membership in the Association and to be bound by the terms, conditions and obligations of membership, including payment of dues and compliance with the Association's bylaws and governing documents; and

WHEREAS, the parties desire to set forth in writing the terms and conditions of the Member's membership in the Association.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Association and the Member agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Bylaws" means the Association's bylaws and any rules, regulations or policies adopted by the Association's board of directors, as amended from time to time.

"Membership Year" means the twelve (12) month period beginning on Membership Start Date: and thereafter as established by the Association.

2. GRANT OF MEMBERSHIP

Subject to the terms of this Agreement and the Bylaws, the Association hereby admits the Member to membership in the Association upon acceptance of this Agreement and payment in full of applicable dues and fees. Membership confers only such rights as are expressly set forth in this Agreement and the Bylaws.

3. DUES, FEES AND PAYMENT

Member shall pay Annual Dues in the amount of USD per Membership Year, together with any initiation fee of USD if applicable. Dues are due and payable on or before Payment Due Date: each year.

Late payments shall accrue interest at a rate of and the Association may suspend membership privileges for any Member more than thirty (30) days delinquent.

4. RIGHTS, PRIVILEGES AND OBLIGATIONS

4.1 Voting and Participation. The Member shall have such voting rights and rights of participation in meetings and committees as are set forth in the Bylaws. Any exercise of voting rights shall be subject to compliance with the Bylaws and payment of all amounts due.

4.2 Compliance. Member agrees to comply with the Bylaws, policies, rules and reasonable directives of the Association and to act in a manner consistent with the Association's mission and purposes. Continued membership is conditioned upon such compliance.

5. MEETINGS AND VOTING

Meetings of the membership shall be conducted in accordance with the Bylaws. Quorum and voting thresholds shall be those set forth in the Bylaws. Proxy voting, if permitted, must comply with any formal requirements established by the Association.

6. TERM, RESIGNATION AND TERMINATION

6.1 Term. This Agreement shall commence on the Effective Date and shall continue for the Membership Year and shall automatically renew for successive Membership Years unless terminated in accordance with this Agreement or the Bylaws.

6.2 Resignation. Member may resign by delivering written notice to the Association at least thirty (30) days prior to the end of the then-current Membership Year. Resignation shall not relieve Member of any amounts owed for the then-current Membership Year.

6.3 Termination for Cause. The Association may suspend or terminate membership for cause, including but not limited to material breach of this Agreement, failure to pay dues, or conduct materially adverse to the Association. Termination for cause shall be effective upon written notice and after any appeal procedure provided in the Bylaws has been exhausted.

7. CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Each party agrees to hold Confidential Information in strict confidence and not to disclose it to third parties except as required by law or as necessary to perform under this Agreement, and then only with prior written notice to the disclosing party where permissible.

8. INTELLECTUAL PROPERTY

All intellectual property rights owned or developed independently by a party prior to this Agreement shall remain the sole property of that party. Member grants the Association a non-exclusive, royalty-free, revocable license to use Member's name and logo solely for Association promotional and member-directory purposes, subject to Member's prior written approval for any use beyond such purposes.

9. INDEMNIFICATION AND INSURANCE

Member shall indemnify, defend and hold harmless the Association, its directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of Member's breach of this Agreement, negligent acts or willful misconduct. Member shall maintain such insurance as is customary and reasonable for Members of similar size and activity.

10. LIMITATION OF LIABILITY

Except for liability resulting from willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive or special damages arising out of or in connection with this Agreement, whether in contract, tort or otherwise.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, certified mail (return receipt requested), or email with confirmation of receipt to the addresses set forth below or to such other address as a party may designate by notice in accordance with this section.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. This Agreement, together with the Bylaws and any exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. MISCELLANEOUS

14.1 Assignment. Member may not assign this Agreement or any right hereunder without the prior written consent of the Association, which consent shall not be unreasonably withheld.

14.2 Remedies. The remedies provided herein are cumulative and in addition to any other remedies available at law or in equity. The prevailing party in any dispute arising out of this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
