MEMBERSHIP BOAT CLUB AGREEMENT

This Membership Boat Club Agreement (the Agreement) is entered into between Club Name: , with principal address at Club Address: (the Club), and Member Name: , residing at Member Address: (the Member).

WHEREAS

WHEREAS, the Club operates a shared boat ownership and access program providing vessel use, berthing, maintenance coordination, and related services to members; and

WHEREAS, the Member desires to obtain the rights and benefits of Club membership subject to the terms, conditions, covenants, and payments set forth herein, and the Club agrees to make such rights available to the Member upon execution of this Agreement and receipt of required fees.

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF SERVICES

The Club will provide membership privileges as described below. Member acknowledges that specific vessel availability, scheduling, and ancillary services are subject to the Club's policies and seasonal constraints.

As consideration for membership privileges, Member shall pay the fees set forth below. All payments are non-refundable except as expressly provided in this Agreement.

Failure to timely pay membership fees shall constitute a material breach permitting suspension or termination of Member privileges in accordance with Section 5, and Member shall remain liable for all unpaid amounts, costs of collection, and attorney fees incurred by the Club to enforce payment obligations.

4. TERM AND TERMINATION

Term: This Agreement commences on Effective Date: and continues through End Date: , unless earlier terminated as provided herein. Absent an end date, the Agreement shall continue on a month-to-month basis following the initial term.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party not less than Notice Period: days prior to the proposed termination date. The Club may suspend or terminate membership immediately for cause, including but not limited to safety violations, fraud, damage to Club property, or material breach of this Agreement.

Upon termination, Member shall return all Club property, settle all outstanding charges, and remain liable for any damages or fees incurred prior to termination.

5. CONFIDENTIALITY

Each party shall treat as confidential all proprietary business information and member-only operational details disclosed by the other party during the term of this Agreement, including pricing, scheduling systems, member rosters, and operational procedures (Confidential Information). Confidential Information shall not include information that is or becomes publicly available through no breach by the receiving party or information independently developed without reference to the disclosing party's Confidential Information.

The receiving party shall not use Confidential Information except to perform under this Agreement and shall disclose it only to employees, contractors, or agents who have a need-to-know and who are bound by confidentiality obligations no less protective than those herein. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years.

6. LIABILITY, INSURANCE AND INDEMNIFICATION

Member acknowledges inherent risks associated with boating. Member agrees to operate vessels in accordance with applicable laws, safety rules, and Club policies. Member shall be responsible for loss or damage caused by Member's negligence or willful misconduct.

Indemnification: Member shall indemnify, defend, and hold harmless the Club and its affiliates, officers, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorney fees) arising out of Member's use of Club vessels or facilities, breach of this Agreement, or negligent acts or omissions of the Member or Member's guests.

Insurance: Member shall maintain personal liability insurance as required by the Club policy and shall provide proof of insurance upon request. The Club shall maintain insurance for Club-owned vessels and facilities, but such coverage does not replace Member's indemnity obligations.

7. RULES, SAFETY AND OPERATION

Member agrees to comply with all Club rules, posted safety procedures, training requirements, and local maritime laws. Failure to comply may result in suspension or revocation of privileges. The Club reserves the right to require completion of safety training prior to permitting vessel operation.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located within that State.

9. ENTIRE AGREEMENT

This Agreement, including any attachments, schedules, or written Club policies incorporated by reference, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

10. NOTICES

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided herein or such other address as a party may designate in writing. Notice shall be deemed delivered when sent by certified mail, courier, or email with confirmation of receipt where applicable.

11. MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that the Club may assign this Agreement to an affiliate or successor in interest.
