MEMBERSHIP CLUB AGREEMENT

This Membership Club Agreement (the Agreement) is entered into as of Effective Date: by and between Club Name: , with principal address (hereinafter "Club"), and Member Name: , with address (hereinafter "Member").

RECITALS

WHEREAS, Club operates and manages a private club providing recreational, social and related facilities and services to enrolled members, including but not limited to dining, fitness, and event access;

WHEREAS, Member desires to obtain membership privileges at the Club and to be bound by the Club's rules, payment obligations and policies as set forth herein; and

WHEREAS, Club is willing to grant membership to Member upon the terms, conditions and payments set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below: "Membership" means the privileges and rights granted to Member to use the Club's facilities and services in accordance with this Agreement; "Facility" means the physical premises owned or operated by Club; "Rules" means the Club's written policies and codes of conduct as amended from time to time and provided to Member.

2. TERM AND RENEWAL

2.1 Initial Term. The Membership shall commence on Membership Start Date: and shall continue for an initial term of months (the Initial Term), unless earlier terminated pursuant to Section 7.

2.2 Renewal. Unless either party provides written notice of non-renewal at least Thirty (30) days prior to the expiration of the then-current term, the Membership shall automatically renew for successive terms of one (1) year each on the same terms and conditions, subject to any adjustments to Fees as provided in Section 3.

3. FEES, PAYMENT AND REFUNDS

3.1 Membership Fee. Member shall pay to Club a membership fee in the amount of $ , payable in accordance with the payment schedule selected below.

3.2 Late Payment. Any payment not received within Ten (10) days of its due date shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and Club shall have the right to suspend Member's privileges until all amounts due are paid in full.

3.3 Refunds. Except as otherwise provided in this Agreement, membership fees are non-refundable. In the event of termination by Club for material breach by Member, Member shall not be entitled to a refund. Pro rata refunds for early termination by Club without cause may be issued at Club's sole discretion.

4. MEMBERSHIP RIGHTS AND LIMITATIONS

4.1 Rights. During the Term, Member is granted non-exclusive, non-transferable rights to use the Facility and participate in Club activities in accordance with this Agreement and the Rules. Such rights are personal to the Member identified herein and may not be sold, assigned or transferred except with Club's prior written consent.

4.2 Limitations. Club reserves the right to limit access to particular amenities, to set capacity limits, to require advance reservations, and to adopt reasonable rules for conduct, dress and guest policies. Member acknowledges that Club may from time to time close facilities for maintenance or special events.

5. MEMBER OBLIGATIONS; CODE OF CONDUCT

Member agrees to comply with all Rules and to be responsible and liable for the acts and omissions of Guest(s). Member shall not engage in unlawful activity or conduct that jeopardizes the safety or reputation of the Club. Club may suspend or terminate privileges for violations of the Rules after providing notice and an opportunity to be heard where practicable.

6. ACCESS, KEYS AND IDENTIFICATION

6.1 Access. Club may issue access cards, keys or identification which remain the property of the Club. Member shall report lost items immediately. Replacement fees: $ .

7. TERMINATION AND SUSPENSION

7.1 Termination for Cause. Club may terminate this Agreement immediately for material breach, fraudulent conduct, or behavior endangering persons or property. Member may terminate for Club's uncured material breach if Club fails to remedy such breach within Thirty (30) days after written notice.

7.2 Effect of Termination. Upon termination, Member shall return Club property, and Member's access shall cease. Termination does not relieve Member of obligations to pay amounts accrued prior to termination.

8. CONFIDENTIALITY AND DATA

Member acknowledges that certain non-public information pertaining to Club operations, other members, or Club programs may be proprietary. Member shall not disclose confidential member lists or proprietary operational information obtained through membership. Club may collect and use Member contact information for membership administration and notification of Club activities.

9. INSURANCE; WAIVER OF CLAIMS

Member is responsible for maintaining personal property and liability insurance as desired. To the fullest extent permitted by law, Member waives claims against Club for personal injury or property damage arising from ordinary use of the Facility, except for damages resulting from Club's gross negligence or willful misconduct.

10. INDEMNIFICATION

Member shall indemnify, defend and hold harmless Club, its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Member's breach of this Agreement, negligence, willful misconduct, or the acts of Member's Guests.

11. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL CLUB BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT OR ANY OTHER THEORY.

12. NOTICES

All notices, requests and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

13. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision or breach shall be effective unless in writing and signed by the party granting the waiver, and no waiver of any breach shall constitute a waiver of any other or subsequent breach.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State specified below without regard to conflicts of law principles. Choice of law state:

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any written Rules and any schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective as original signatures.

17. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect interpretation. The obligations under Sections 8 (Confidentiality), 10 (Indemnification) and 11 (Limitation of Liability) shall survive termination or expiration of this Agreement.
