The Member and the Organization acknowledge that in connection with the membership, each may receive confidential, proprietary or non-public information of the other. Each party agrees to hold such information in confidence, to use it solely for purposes expressly related to the membership, and not to disclose it to third parties except as required by law or with prior written consent. Confidential information shall not include information that is publicly known through no fault of the receiving party or that is rightfully received from a third party without an obligation of confidentiality.

Governing Law
