TERM AND TERMINATION

This membership commences on the Term Start Date and, unless earlier terminated in accordance with this clause, continues through the Term End Date. Either party may terminate for material breach if the breach is not cured within the notice period set forth below.

By checking this box the Member authorizes automatic renewal on the terms then in effect unless the Member provides written notice of non-renewal within the notice period set forth above.

CONFIDENTIALITY

Each party acknowledges that during the term of this membership it may receive confidential, proprietary, or non-public information of the other party. Except as required by law, each party shall use such confidential information solely for the purposes of performing its obligations under this membership confirmation and shall not disclose it to third parties without the disclosing party's prior written consent. The confidentiality obligations survive termination for a period of three (3) years.

GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of the State of , excluding its choice-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising out of this agreement.

ENTIRE AGREEMENT
