Either party may terminate this membership for convenience upon written notice to the other party in accordance with the notice period above. The Organization may terminate immediately for cause, including nonpayment, material breach of membership rules, or conduct detrimental to the Organization or its members.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information marked or identified as confidential or that a reasonable person would understand to be confidential. The recipient shall (a) use Confidential Information only for purposes of performing obligations under this membership; (b) restrict disclosure to those employees or contractors with a need to know and who are bound to confidentiality obligations; and (c) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information shall not include information that is or becomes publicly available without breach, independently developed without use of Confidential Information, or required to be disclosed by law, provided the disclosing party is promptly notified where permitted.

Governing Law

This letter and the membership rights and obligations contained herein shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Membership Confirmation Letter, together with any attachments, schedules and duly executed policies incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
