MEMBERSHIP CONTRACT

Parties

This Membership Contract (the "Agreement") is entered into by and between:

Recitals

WHEREAS, Provider operates programs, services, and facilities for its members and offers access to specified benefits and services to qualified members; and

WHEREAS, Member desires to obtain membership privileges and agrees to pay the fees and comply with the terms set forth in this Agreement; and

WHEREAS, the parties intend to set forth herein the terms and conditions governing Member's membership and Provider's obligations;

Definitions

For purposes of this Agreement, "Services" means the membership benefits described in the Scope of Work; "Confidential Information" means information marked or reasonably understood to be confidential; and "Billing Cycle" means the recurring interval set forth in Payment Terms.

Scope of Work (Membership Benefits)

Provider shall make available the Services described below to Member during the Term, subject to Member's compliance with this Agreement and Provider's policies. Specific deliverables, access privileges, and limitations must be described by Provider and accepted by Member.

Membership Type and Options

Select the membership tier and any optional add-ons elected by Member. Membership selections are non-transferable unless expressly agreed in writing by Provider.

Payment Terms

Member shall pay Provider the fees and charges for the Services as specified below. All amounts are in lawful currency of the jurisdiction identified in Governing Law unless otherwise agreed.

Any late payment shall accrue interest or a late fee as set forth above and Provider may suspend access to Services until accounts are brought current. Member is responsible for all costs of collection, including reasonable attorneys' fees.

Term and Termination

The term of this Agreement (the "Term") begins on the Start Date and continues until the End Date or until earlier termination in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon advance written notice equal to the Notice Period. Provider may terminate or suspend membership immediately for cause, including nonpayment, breach of conduct policies, or material violation of this Agreement.

Member Obligations; Code of Conduct

Member shall comply with Provider's rules and policies as communicated in writing. Member shall use facilities and Services responsibly and shall be liable for damage caused by Member or Member's guests. Repeated violations may result in suspension or termination of membership without refund.

Confidentiality

Each party shall keep confidential all Confidential Information of the other party and shall not disclose such information except to the extent necessary to perform its obligations or as required by law. Confidentiality obligations survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as protected under applicable law.

Indemnification and Limitation of Liability

Member agrees to indemnify, defend and hold Provider harmless from any claims, liabilities or expenses arising from Member's use of the Services, breach of this Agreement, or negligence. Except for willful misconduct or gross negligence, Provider's aggregate liability related to this Agreement shall not exceed the total fees paid by Member to Provider in the six (6) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below, without regard to conflict of law principles.

Entire Agreement; Modification

This Agreement, together with any written schedules or attachments signed by both parties, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings. No modification is effective unless in writing and signed by both parties.

Severability; Waiver

If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force. Failure to enforce any right does not waive that right or any other.

Acknowledgment

By signing below, Member acknowledges having read and understood this Agreement, consents to be bound by its terms, and represents that the signer has authority to enter into this Agreement on behalf of Member.
