MEMBERSHIP CONTRACT AGREEMENT

This Membership Contract Agreement (the Agreement) is entered into as of by and between Member: with an address at , and Organization: with an address at .

RECITALS

WHEREAS, Organization operates a membership program that provides access to certain services, facilities, benefits, and/or materials described herein; and

WHEREAS, Member desires to obtain membership privileges and agrees to comply with Organization’s rules, fees, and the terms set forth in this Agreement; and

WHEREAS, Organization is willing to grant membership to Member subject to the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Definitions

1.1 "Agreement" means this Membership Contract Agreement and any schedules or attachments expressly incorporated herein.
1.2 "Member" means the individual or entity identified as Member in the opening paragraph. 1.3 "Effective Date" means the date set forth above.

2. Membership Term; Termination

2.1 Term. The membership term shall commence on and shall continue for a period of months (the Term) unless earlier terminated in accordance with this Agreement.

2.2 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure such breach within days after receipt of written notice specifying the breach.

2.3 Effect of Termination. Upon termination all rights granted to Member under this Agreement shall cease, Member shall return all Organization property, and any fees outstanding shall become due and payable as provided in Section 3.

3. Fees; Payment; Refunds

3.1 Fees. Member shall pay to Organization a membership fee in the amount of (Membership Fee) in accordance with this Section.

3.3 Refunds. Refunds, if any, shall be governed by the refund policy below. Refunds will be issued only in accordance with Organization’s written refund policy and any applicable prorations for partial terms.

4. Member Obligations; Conduct

4.1 Compliance with Rules. Member shall comply with all rules, policies, and guidelines promulgated by Organization, including any safety, access, or conduct requirements. Organization may amend those rules upon reasonable notice to Member.

4.2 Prohibited Conduct. Member shall not engage in illegal activity, harassment, or any conduct that would materially interfere with other members' enjoyment of the services. Organization retains the right to suspend or terminate membership for repeated or serious violations.

5. Confidentiality; Data

5.1 Confidential Information. Each party shall keep confidential any non-public information disclosed by the other party that is designated confidential or that a reasonable person would consider confidential under the circumstances, and shall not disclose such information except as permitted by this Agreement or required by law.

5.2 Member Data. Organization may collect and process Member contact and usage information in order to provide membership services. Organization shall handle Member data in accordance with its privacy practices; Member consents to such processing for the purposes of performing under this Agreement.

6. Liability; Indemnification

6.1 Indemnification. Member shall indemnify, defend, and hold harmless Organization and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of Member’s breach of this Agreement, negligence, willful misconduct, or violation of applicable law.

6.2 Limitation of Liability. To the maximum extent permitted by law, in no event shall either party be liable to the other for consequential, incidental, special, punitive or exemplary damages, even if advised of the possibility of such damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total membership fees paid by Member to Organization in the twelve (12) months preceding the claim.

7. Intellectual Property

7.1 Ownership. Except for the limited rights granted to Member herein, Organization retains all right, title and interest in and to its trademarks, service marks, trade names, copyrights, designs, processes and other intellectual property.

7.2 License. Organization grants Member a non-exclusive, non-transferable, revocable license to use Organization’s membership materials solely for Member’s personal, non-commercial use in accordance with this Agreement.

8. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate in writing in accordance with this Section. Notice is effective upon receipt.

9. Amendments; Waiver; Counterparts

9.1 Amendments. This Agreement may be amended only by a written instrument signed by both parties. No course of dealing or failure to insist on strict performance shall constitute an amendment.

9.2 Waiver. No waiver of any provision shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not constitute a waiver of any other breach.

9.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be binding.

10. Governing Law; Entire Agreement; Severability

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the parties:

10.2 Entire Agreement. This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the maximum extent permitted by law to reflect the parties’ intent.

11. Miscellaneous Provisions

11.1 Relationship of Parties. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship unless expressly stated in writing.

11.2 Assignment. Member may not assign or transfer its rights or obligations under this Agreement without Organization’s prior written consent. Organization may assign this Agreement in connection with a sale of all or substantially all of its assets or business to which this Agreement relates.
