This Membership Dues Agreement ("Agreement") is entered into as of between the Organization Name: and Member Name: .

Recitals

WHEREAS, the Organization administers a membership program that provides specified benefits and services to its members; and

WHEREAS, the Member seeks to obtain membership in the Organization and agrees to pay dues and comply with the Organization's rules and policies as set forth in this Agreement; and

Either party may terminate this Agreement for convenience by providing the other party with written notice at least days prior to the intended termination date. Termination for material breach is effective immediately upon written notice if the breaching party fails to cure the breach within thirty (30) days of receipt of notice of breach.

Effect of Termination: Termination does not relieve the Member of outstanding payment obligations accrued prior to the effective date of termination. Refunds of prepaid dues, if any, will be handled in accordance with Organization policy and subject to any administrative fees described above.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Confidentiality Period (years): years from the date of disclosure, except that trade secrets shall remain protected for as long as they meet the legal definition of a trade secret.

Governing Law and Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve disputes arising out of this Agreement by negotiation or mediation prior to initiating litigation.

Entire Agreement

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices are effective upon receipt.

Miscellaneous

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Waiver of any breach shall not be deemed a waiver of any subsequent breach.
