MEMBERSHIP ENROLLMENT AGREEMENT

This Membership Enrollment Agreement ("Agreement") is entered into as of by and between Organization Name: and Member Name: (collectively, the "Parties").

WHEREAS / RECITALS

WHEREAS, Organization operates and manages the membership program identified herein and provides access to services, facilities, and benefits described in this Agreement; and

WHEREAS, Member desires to enroll in the membership program and receive such services and benefits upon the terms and conditions set forth below; and

WHEREAS, the Parties intend that this Agreement constitute a binding contractual relationship governing the rights and obligations of the Parties with respect to the membership.

SCOPE OF MEMBERSHIP / SCOPE OF WORK

The membership entitles Member to the benefits, services and privileges described below. Organization shall provide such benefits in a professional manner consistent with industry standards and Organization's published policies.

MEMBERSHIP DETAILS

Basic — access to standard services;
Premium — includes Basic plus priority access;
VIP — all Premium benefits plus exclusive offerings

PAYMENT TERMS

Member agrees to pay fees as set forth below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Payments not received within days after the due date shall incur a late fee equal to the greater of or per month on the outstanding balance. Organization reserves the right to suspend Member access for failure to pay in accordance with this Agreement following written notice.

TERM AND TERMINATION

The term of this Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Organization may terminate immediately for material breach by Member, including nonpayment, violation of facility rules, or unlawful conduct. Termination does not relieve Member of obligations to pay fees accrued prior to termination unless otherwise agreed in writing.

Early termination by Member may be subject to an early termination fee of if termination occurs prior to the minimum commitment period set forth in the membership details.

CONFIDENTIALITY

Each Party (the "Receiving Party") shall hold in confidence all non-public, proprietary or confidential information disclosed by the other Party (the "Disclosing Party") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information excludes information that: (a) is or becomes publicly available without breach of this Agreement; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt notice to the Disclosing Party and limits disclosure to the extent reasonably required.

ADDITIONAL TERMS

Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except that Organization may assign to an affiliate or in connection with a sale of substantially all of its assets without Member consent.

Amendments: Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both Parties to be effective.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or addenda expressly incorporated by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. In the event of any conflict between this Agreement and any purchase order, invoice, or other document, the terms of this Agreement shall prevail unless expressly agreed otherwise in writing.

MEMBER REPRESENTATIONS AND AUTHORIZATION

Member represents that the information provided in connection with enrollment is true and complete. By signing below, Member authorizes Organization to charge the selected payment method for membership fees and applicable taxes, and acknowledges receipt of any member rules and policies provided by Organization.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above or such other address as either Party may designate in writing. Notice is effective upon delivery when delivered personally, by certified mail, or by recognized overnight courier.
