PAYMENT TERMS

TERM AND TERMINATION

CONFIDENTIALITY

Each party shall maintain in confidence all non-public, proprietary information disclosed by the other party in connection with this Agreement that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is or becomes public through no breach by the receiving party, is independently developed, or is rightfully received from a third party without restriction.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall disclose such information only to its employees, agents, or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein. Breach of this provision may cause irreparable harm for which monetary damages may be inadequate; the disclosing party is entitled to seek equitable relief in addition to other remedies.

CONSENT, RELEASE, AND ACKNOWLEDGEMENTS

Member acknowledges that participation in certain programs may involve risk. Member voluntarily assumes all risk of injury or loss and releases the Organization and its officers, directors, employees, volunteers, and agents from liability except to the extent caused by gross negligence or willful misconduct.

GOVERNING LAW; DISPUTE RESOLUTION

ENTIRE AGREEMENT
