Recitals

WHEREAS, the Organization operates a membership program providing certain services, privileges, and benefits to enrolled members under the terms and conditions set forth in this Membership Handbook; and

WHEREAS, the Member seeks to enroll in the Organization's membership program and agrees to abide by the policies, obligations, and standards established in this Handbook; and

WHEREAS, the parties desire to set forth the rights and responsibilities of membership, payment terms, confidentiality obligations, and dispute resolution procedures in this written Handbook.

Scope of Membership

The Member's membership scope, including authorized benefits, limitations, and any deliverables the Organization will provide, is described below. The Organization retains the right to define the operational details of listed benefits so long as material benefits are provided as specified.

Benefits and Access

The Member will receive the following benefits where applicable. Selection indicates inclusion as part of the Member's current membership package:

Facility access during published hours

Priority registration for events and programs

Regular communications and member-only updates

Member Obligations & Code of Conduct

The Member shall comply with all published rules, safety policies, and reasonable staff directions. The Member agrees not to engage in conduct that is unlawful, harassing, discriminatory, or disruptive. Violation of conduct standards may result in suspension or termination of membership in accordance with the Termination provisions below.

Payment Terms

The Member shall pay membership fees in accordance with the schedule and amounts set forth below. Failure to timely remit fees may result in suspension of benefits.

Term and Termination

The membership commences on and continues until unless earlier terminated as provided herein.

Either party may terminate this membership for convenience upon written notice delivered at least days prior to the intended termination date. The Organization may terminate immediately for cause, including nonpayment, material breach, or conduct endangering others.

Confidentiality

The Member and the Organization each agree that Confidential Information disclosed in connection with membership — including nonpublic operational policies, proprietary training materials, member lists, pricing structures, and internal communications — shall be kept confidential and used only for purposes reasonably related to the membership. Confidential Information does not include information which is or becomes generally available to the public other than by breach of this Handbook, or information independently developed without use of Confidential Information.

Each party shall implement reasonable administrative and technical safeguards to protect Confidential Information and shall limit access to personnel with a legitimate need to know.

Privacy and Data Use

The Organization may collect contact and transaction information necessary to administer the membership. Such data will be used for membership administration, billing, and communications unless the Member provides a written restriction. The Organization will not sell Member personal data to third parties and will take commercially reasonable steps to protect personal data.

Amendments

The Organization may amend the terms of this Handbook upon at least thirty (30) days' prior written notice to the Member. Amendments shall be effective as of the date specified in the notice. Material changes to benefits or fee structure will provide the Member an opportunity to terminate pursuant to the Term and Termination provision.

Dispute Resolution and Governing Law

The parties shall first attempt in good faith to resolve any dispute arising out of or related to this Handbook through negotiation. If the dispute cannot be resolved by negotiation within sixty (60) days, the parties agree to submit the dispute to binding arbitration administered in accordance with the arbitration rules mutually agreed at the time of dispute. The arbitration award shall be final and binding.

Governing Law:

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable for incidental, indirect, special, or consequential damages arising out of this Handbook. The Organization's aggregate liability for claims arising out of or related to membership shall be limited to direct damages not to exceed the total fees paid by the Member to the Organization in the six (6) months preceding the event giving rise to the claim.

Entire Agreement

This Handbook, together with any attachments or separate written membership addenda signed by both parties, constitutes the entire agreement between the Organization and the Member with respect to the subject matter herein and supersedes all prior negotiations, proposals, and communications, whether written or oral.

Acknowledgment

The Member acknowledges receipt of this Membership Handbook, understands the terms and obligations contained herein, and accepts membership subject to these terms.
