Scope of Services

The Organization shall provide the Member with the program access, services, and benefits described below. The following description defines the principal scope of deliverables and member privileges. The Member agrees to pay all fees when due. Overdue amounts bear interest or late fees as specified above and the Organization may suspend member benefits for nonpayment after written notice and applicable cure period.

Either party may terminate this membership for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Termination for cause is permitted where a material breach remains uncured following thirty (30) days' written notice specifying the breach, or immediately where permitted by applicable law.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with the membership ("Confidential Information") and shall not disclose such information to third parties except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that was publicly known prior to disclosure, becomes publicly known other than by breach of this Bulletin, or is independently developed without use of the other party's Confidential Information.

The obligations in this section survive termination of the membership for a period of three (3) years, or longer as required for trade secrets under applicable law.

This Bulletin, together with any schedules or written addenda subsequently executed by the parties, constitutes the entire agreement between the Member and the Organization with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
