RECITALS

WHEREAS, Disclosing Party is an organization that maintains records and membership-related data necessary to administer membership benefits, fees, and communications; and

WHEREAS, Member has applied for or maintains membership and must disclose certain personal and account information to obtain membership services and related benefits; and

WHEREAS, the parties wish to define the scope, terms and limitations under which Member information may be collected, used, retained and disclosed.

SCOPE OF DISCLOSURE (SCOPE OF WORK)

The Member hereby authorizes the Disclosing Party to collect, use and disclose the categories of membership information described below for the purposes specified. Disclosures shall be limited to the minimum information reasonably necessary to accomplish the stated purpose.

PAYMENT TERMS

Member agrees to pay any membership fees and charges as set forth below. Failure to timely pay may result in suspension or termination of member benefits as set forth in the Term and Termination section.

TERM AND TERMINATION

This Agreement becomes effective on the Effective Date and continues through the Term unless earlier terminated as provided below.

Either party may terminate for material breach if the breaching party fails to cure within the notice period. Termination shall not relieve Member of obligations to pay amounts accrued prior to termination.

CONFIDENTIALITY

All non-public membership information disclosed pursuant to this Agreement shall be treated as Confidential Information. Disclosing Party and Member each agree: (a) to use Confidential Information solely for the permitted purposes described in the Scope of Disclosure; (b) to restrict access to Confidential Information to employees or contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) not to disclose Confidential Information to any third party except as expressly authorized or required by law.

Confidential Information shall not include information that (i) is or becomes publicly available through no breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed without use of Confidential Information.

THIRD-PARTY DISCLOSURE AND CONSENT

Member expressly authorizes the Disclosing Party to disclose membership information to third parties where necessary to provide membership services, process payments, perform analytics, or comply with legal obligations, subject to the restrictions in this Agreement.

Member may revoke consent in writing, except to the extent action has already been taken in reliance on such consent. Revocation does not affect disclosures made prior to receipt of revocation.

DATA RETENTION AND SECURITY

Disclosing Party will retain membership records for the period necessary to fulfill business and legal obligations, subject to applicable law. Disclosing Party shall maintain administrative, technical and physical safeguards reasonably designed to protect Confidential Information from unauthorized access, disclosure or misuse.

ACKNOWLEDGMENTS AND CERTIFICATIONS

Member certifies that all information provided in this form is true, accurate and complete to the best of Member's knowledge. Member understands that knowingly making false statements may subject Member to civil or contractual remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This document, together with any attachments or incorporated schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, agreements and representations, whether written or oral.

Execution by electronic signature or by manually signing a copy of this Agreement shall have the same force and effect as an original signature.
