Recitals

Scope of Services

The Organization shall provide the Member with membership benefits and services as set forth below. The specific scope includes, but is not limited to, administrative support, access to facilities or events as described in the applicable membership tier, periodic communications, and any additional services expressly confirmed in writing by the Organization.

Payment Terms

Member agrees to pay the Organization the membership fees and any applicable charges in accordance with the schedule below. All fees are non-refundable except as required by law or as expressly provided in a separate written agreement signed by the Organization.

Term and Termination

The membership term and termination rights are set forth below. Termination may occur for cause or without cause as specified herein.

Either party may terminate this membership for material breach by the other party if such breach is not cured within the notice period specified above. Termination for cause is without prejudice to any accrued rights or remedies.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. Confidential Information means non-public information disclosed in any form that is clearly designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Neither party shall disclose Confidential Information to any third party except as necessary to perform its obligations or as required by law. The receiving party shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations survive termination for a period of three (3) years, except that trade secrets remain protected for so long as they qualify as trade secrets.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the courts located in that State for disputes arising out of or relating to this Agreement.

Entire Agreement

This Membership Information Form, including the Scope of Services and Payment Terms specified herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
