MEMBERSHIP LICENSE AGREEMENT

This Membership License Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Licensor Name: with principal place of business at Licensor Address: , and Licensee Name: with principal place of business at Licensee Address: .

RECITALS

WHEREAS, Licensor owns and operates a membership program described as Membership Program: that provides certain rights, services and access to proprietary content, systems and marks (collectively, the "Program");

WHEREAS, Licensee desires to obtain a limited, non-exclusive license to use the Program as set forth herein, and Licensor is willing to grant such license subject to the terms and conditions of this Agreement;

WHEREAS, the parties intend for this Agreement to define the membership rights, fees, obligations, confidentiality and intellectual property protections applicable to Licensee's participation in the Program.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Licensed Materials" means all content, software, documentation, marks and other materials provided or made accessible to Licensee by Licensor in connection with the Program, including any updates or enhancements.

1.2 "Term" means the initial membership period set forth in Section 4 and any renewal terms agreed in writing.

2. GRANT OF LICENSE

Subject to Licensee's timely payment of fees and compliance with this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, revocable license to access and use the Licensed Materials solely for Licensee's internal membership purposes during the Term. Licensee shall not sublicense, distribute, sell or otherwise make the Licensed Materials available to third parties except as expressly permitted in writing by Licensor.

3. MEMBERSHIP RIGHTS AND OBLIGATIONS

3.1 Rights. Licensee's membership rights shall include access to the Program features identified in Schedule A attached hereto and the Licensee shall use such rights in accordance with applicable documentation and Licensor's policies.

3.2 Restrictions. Licensee shall not (a) reverse engineer, decompile or disassemble any Licensed Materials; (b) remove or alter proprietary notices; or (c) use the Licensed Materials to provide services to third parties without Licensor's prior written consent.

4. TERM AND TERMINATION

4.1 Term. The Term of this Agreement shall commence on the Effective Date and continue for an initial period of months unless earlier terminated as provided herein.

4.2 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

4.3 Effect of Termination. Upon termination, Licensee shall immediately cease use of the Licensed Materials and, if requested by Licensor, shall certify in writing that it has returned or destroyed all copies of Licensed Materials in its possession.

5. FEES AND PAYMENT

All fees are exclusive of taxes. Licensee shall pay all applicable taxes related to the fees, except for taxes based on Licensor's net income. Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. INTELLECTUAL PROPERTY

Licensor retains all right, title and interest in and to the Licensed Materials and any associated intellectual property rights. Licensee acquires no ownership rights under this Agreement. Licensee shall not challenge Licensor's ownership or dilute the value of Licensor's marks.

7. CONFIDENTIALITY

Each party shall keep confidential and not disclose the other's Confidential Information. "Confidential Information" means non-public information disclosed in connection with this Agreement that is marked confidential or that a reasonable person would understand to be confidential. Confidential Information shall not include information that is publicly known, lawfully received from a third party, or independently developed without use of the other's Confidential Information.

8. REPRESENTATIONS AND WARRANTIES

8.1 Mutual. Each party represents that it has the full power and authority to enter into this Agreement and perform its obligations hereunder.

8.2 Licensor. Licensor represents that to the best of its knowledge it has the rights necessary to grant the license set forth herein and that the Licensed Materials will not infringe third-party intellectual property rights when used in accordance with this Agreement.

9. INDEMNIFICATION

Licensee shall defend, indemnify and hold harmless Licensor and its officers, directors and agents from and against any third-party claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of Licensee's breach of this Agreement, misuse of the Licensed Materials, or violation of applicable law.

10. LIMITATION OF LIABILITY

EXCEPT FOR A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR A PARTY'S INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY LICENSEE TO LICENSOR UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

12. AMENDMENT; WAIVER

No modification, amendment or waiver of any provision of this Agreement shall be effective unless in a writing signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any schedules or exhibits hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together will constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
