Recitals

WHEREAS, Organization Name: is an entity that provides membership services and related benefits to eligible individuals and entities; and

WHEREAS, Member Name: seeks to enroll and participate in the Organization's membership program under the terms set forth below; and

WHEREAS, the parties desire to set forth their mutual rights and obligations in a written membership agreement effective as of the Effective Date set forth herein.

Scope of Membership

The Member shall be entitled to the benefits, services, access, and obligations described below. Member obligations include compliance with Organization policies, timely payment of fees, and participation requirements where applicable. Organization obligations include provision of benefits described in this Section and reasonable administration of the membership program.

Payment Terms

Member agrees to pay the membership fee and any other charges as set forth below. All fees are non-refundable except as expressly stated in this Agreement.

Credit Card ACH / Bank Transfer Check

Fees not paid within the period specified in the billing schedule shall accrue the Late Fee set forth above and may result in suspension of membership privileges until all amounts due, including any collection costs and interest permitted by law, are paid in full.

Term and Termination

This Agreement shall commence on Effective Date: and shall continue until Term End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least Notice Period (days): days prior to the intended termination date. Organization may terminate immediately for cause, including Member's material breach or failure to pay fees when due.

Upon termination, Member shall return any Organization property and cease use of membership benefits. Refunds, if any, will be handled as set forth in Organization policies and shall be subject to deductions for services rendered through the date of termination.

Confidentiality

For the duration of this Agreement and for a period of two (2) years thereafter, each party shall keep confidential and shall not disclose to any third party any non-public information of the other party that is designated as confidential or is reasonably understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or regulation.

Member acknowledges that breach of confidentiality may cause irreparable harm to Organization and that Organization may seek injunctive relief and any other remedies available at law or in equity.

Acknowledgments and Policies

Member affirms that they have reviewed and agree to comply with the Organization's membership policies, rules, and code of conduct as communicated by Organization. Member acknowledges that repeated or serious violations may result in disciplinary action, including termination of membership.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising under this Agreement.

Entire Agreement and Miscellaneous

This Agreement, including any attachments and written policies expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall continue in effect and the invalid or unenforceable provision shall be construed to effectuate the parties' intent to the maximum extent permitted by law.
