MEMBERSHIP PARTICIPATION AGREEMENT

Parties and Recitals

This Membership Participation Agreement ("Agreement") is entered into as of by and between Organization Name: , a Corporation LLC Other, located at (the "Organization"), and Member Name: , located at (the "Member").

WHEREAS, the Organization operates a membership program providing access to certain services, benefits, and events; and

WHEREAS, the Member desires to participate in the Organization's membership program and to receive the benefits described herein subject to the terms and conditions of this Agreement; and

WHEREAS, the parties intend that this Agreement govern the Member's participation, obligations, payment, confidentiality, and the parties' respective rights and remedies.

Scope of Work (Participation)

Member shall participate in the membership program and shall be entitled only to those benefits specifically described in the Scope of Work above. The Organization may, at its discretion, set schedules, access rules, event capacity limits, and eligibility criteria; such operational policies shall be applied uniformly and may be updated from time to time upon reasonable notice.

All fees are due as set forth above. In addition to any late fee, failure to pay within thirty (30) days of a due date constitutes material breach, permitting suspension or termination of Member benefits. The Member is responsible for all reasonable collection costs, including attorneys' fees, incurred by the Organization to collect past-due amounts.

Term and Termination

This Agreement commences on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches a provision and fails to cure within thirty (30) days after receipt of written notice specifying the breach. Termination by the Organization for Member misconduct, violation of policies, or nonpayment may be immediate when necessary to protect members or operations.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public business, technical, operational, financial, member, or other information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is marked confidential or that reasonably should be understood to be confidential. The Receiving Party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, contractors, and professional advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes publicly known through no fault of the Receiving Party; (ii) was known to the Receiving Party before receipt from the Disclosing Party; (iii) is rightfully received from a third party without breach of an obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. Upon termination, Receiving Party shall return or destroy Confidential Information as requested by Disclosing Party and shall certify destruction upon request.

Member Obligations and Conduct

The Member agrees to comply with all Organization policies, rules of conduct, and reasonable directions issued by the Organization. Member shall not engage in illegal activity, harassment, discrimination, or behavior that unreasonably interferes with other members' enjoyment of benefits. The Organization reserves the right to suspend or terminate membership for violations.

Member has authority to enter this Agreement.    Member will comply with applicable laws.    Information provided to Organization is true and complete.

Indemnification and Limitation of Liability

The Member shall indemnify, defend and hold harmless the Organization and its officers, directors, employees, and agents from and against all claims, liabilities, losses, damages, and costs (including reasonable attorneys' fees) arising out of Member's breach of this Agreement, negligence, misconduct, or violation of law. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the Organization: , without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve disputes by negotiation prior to pursuing litigation, and any legal action shall be brought in the courts of the chosen state.

Entire Agreement; Miscellaneous

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, proposals, or representations, whether written or oral. No amendment shall be effective unless in writing and signed by both parties. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that the Organization may assign to an affiliate or successor.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
