MEMBERSHIP RENEWAL AGREEMENT

This Membership Renewal Agreement (the "Agreement") is entered into as of by and between Member Name: with principal address at (the "Member"), and Organization Name: with principal address at (the "Organization").

RECITALS

WHEREAS, the Member and the Organization entered into a Membership Agreement dated (the "Original Agreement"); and

WHEREAS, the Member's membership term under the Original Agreement is scheduled to expire on ; and

WHEREAS, the parties desire to renew and define the terms of the Member's membership for an additional period on the terms set forth herein.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Definitions

For purposes of this Agreement, capitalized terms not otherwise defined shall have the meanings given in the Original Agreement. In addition, "Renewal Term" means the period described in Section 2 below and "Renewal Fee" means the amount payable by the Member for the Renewal Term as set forth in Section 4.

2. Renewal Term

Subject to the terms and conditions of this Agreement, the Original Agreement is hereby renewed for a term commencing on and ending on (the "Renewal Term"), unless earlier terminated in accordance with Section 6.

3. Membership Benefits and Privileges

During the Renewal Term, the Member shall be entitled to the membership benefits and privileges set forth in the Original Agreement, subject to any modifications expressly agreed in writing by the parties. The Organization reserves the right to adopt reasonable rules and procedures governing the use of membership benefits so long as such rules are applied uniformly to similarly situated members.

4. Fees and Payment

The Member shall pay to the Organization a Renewal Fee of payable on or before . All payments shall be made in lawful currency and are non-refundable except as expressly provided in this Agreement.

Late payments shall accrue interest at the rate of from the due date until paid.

5. Auto‑Renewal; Election

The Member elects: . If the Member opts in to automatic renewal, the Renewal Term will automatically renew for successive periods equal to the initial Renewal Term unless the Member or Organization provides written notice of non‑renewal at least days prior to the then-current expiration date.

6. Termination

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve the Member of any payment obligations accrued prior to termination or any obligations that by their nature survive termination.

7. Member Obligations

The Member shall comply with all applicable rules, codes of conduct, and membership requirements established by the Organization. The Member represents and warrants that all information provided to the Organization is true, accurate, and complete as of the Effective Date and will be updated promptly upon any material change.

8. Confidentiality

Each party agrees to hold in confidence and not disclose any non-public information received from the other party in connection with the membership except as required by law or with the prior written consent of the other party. Confidential information shall not include information that is or becomes generally available to the public other than as a result of a breach of this Agreement.

9. Indemnification

The Member shall indemnify, defend, and hold harmless the Organization and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or related to the Member's breach of this Agreement, negligence, or willful misconduct.

10. Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special, punitive, or exemplary damages, whether in contract, tort or otherwise, even if advised of the possibility of such damages.

11. Notices

All notices under this Agreement shall be in writing and deemed given when delivered in person, by nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses set forth below or to such other address as either party may designate by notice to the other.

12. Amendments; Waiver; Counterparts

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

14. Entire Agreement

This Agreement, together with the Original Agreement to the extent expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

15. Severability

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely reflects the parties' original intent.

16. Miscellaneous

The parties acknowledge that each has had the opportunity to consult counsel and that the terms of this Agreement shall be construed without regard to any presumption or rule requiring construction against the drafting party. Headings are for convenience only and shall not affect interpretation.
