MEMBERSHIP SERVICE CONTRACT

This Membership Service Contract ("Agreement") is entered into as of by and between Service Provider Name: and Member Name: .

RECITALS

WHEREAS, Service Provider is engaged in the business of providing membership-based access to services, facilities, and programs as described herein; and

WHEREAS, Member desires to obtain and Service Provider agrees to provide such membership services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

SCOPE OF WORK

Service Provider shall provide membership services as described below. The description of services, membership benefits, and any exclusions must be set out with sufficient detail to permit enforcement.

PAYMENT TERMS

Member shall pay Service Provider the fees described below in consideration for membership services. All payments are non-refundable except as expressly provided in this Agreement.

If payment is not received within days after the due date, Member shall incur a late fee equal to the greater of the stated percentage above or a flat amount of . Interest shall accrue on overdue amounts at the lesser of the maximum lawful rate or the rate set forth above.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience by providing written notice to the other party no less than the notice period stated above. Service Provider may terminate immediately for material breach by Member, including non-payment, material misuse of services, or violation of facility rules. Termination by Member prior to the end of the paid term does not relieve Member of payment obligations for the then-current term unless otherwise agreed in writing.

CONFIDENTIALITY

Each party acknowledges that in the course of performing this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party; (b) was known to the Receiving Party prior to disclosure as shown by the Receiving Party's written records; or (c) is independently developed by the Receiving Party.

The Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement, (ii) protect Confidential Information from unauthorized use or disclosure with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care, and (iii) not disclose Confidential Information to third parties except to those employees, contractors and agents who need to know and who are bound by confidentiality obligations no less protective than those contained herein. Upon termination or request, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

LIMITATION OF LIABILITY

Except for breaches of confidentiality, willful misconduct, or gross negligence, neither party shall be liable to the other for consequential, incidental, indirect, special, or punitive damages. Service Provider's total aggregate liability under this Agreement shall not exceed the total fees paid by Member to Service Provider in the twelve (12) months preceding the event giving rise to liability.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in such jurisdiction for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules executed by the parties, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, promises, representations, and understandings, whether written or oral, relating to its subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or nationally recognized courier service, and shall be effective upon receipt.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business or assets related to this Agreement.
