MEMBERSHIP SERVICES AGREEMENT

This Membership Services Agreement (the Agreement) is entered into effective as of (Effective Date), by and between Member Name: and Service Provider Name: .

WHEREAS

WHEREAS, Member desires to obtain membership privileges, access, and services as described in this Agreement, and Provider is willing to furnish such services subject to the terms and conditions set forth herein.

WHEREAS, the parties intend for Provider to perform the services identified in the Scope of Work in exchange for the Fees described in Payment Terms, and to memorialize their mutual obligations and expectations under this Agreement.

WHEREAS, the parties acknowledge that certain confidential information may be disclosed in connection with membership and the provision of services and agree to the confidentiality obligations set forth below.

SCOPE OF WORK

Provider shall provide membership services and related deliverables as described below. The parties agree that the Scope of Work defines the specific services, deliverables, access rights, and any limitations on use of facilities or digital services.

PAYMENT TERMS

Member shall pay Provider the fees and charges described below in consideration for the services provided under this Agreement. All fees are due in accordance with the payment schedule and are nonrefundable except as expressly provided herein.

Late payments will accrue a late fee and interest as set forth below. Member is responsible for all reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Provider may suspend services immediately for nonpayment or safety concerns.

CONFIDENTIALITY

Each party (Receiving Party) shall keep confidential and shall not disclose or use except in performance of this Agreement any Confidential Information of the other party (Disclosing Party). Confidential Information includes non-public business, technical and financial information disclosed in oral, written or electronic form.

The confidentiality obligations do not apply to information that (i) is or becomes publicly available without breach, (ii) was known to Receiving Party prior to disclosure, (iii) is lawfully obtained from a third party without restriction, or (iv) is independently developed without use of Disclosing Party's Confidential Information. Receiving Party may disclose Confidential Information to the extent required by law, provided it gives prompt notice to Disclosing Party and cooperates with Disclosing Party's efforts to obtain a protective order.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules expressly incorporated, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment will be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate by notice.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in interest in connection with a sale of substantially all of its assets or business.

Limitation of Liability: Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages. Provider's aggregate liability for any claim arising out of this Agreement shall not exceed the fees paid by Member to Provider in the twelve (12) months preceding the claim.
