Membership Services Agreement Addendum

This Addendum is made effective as of to the Membership Services Agreement dated (the "Agreement") between Service Provider: and Member: .

RECITALS

WHEREAS, Service Provider and Member entered into the Agreement to govern the provision of membership services and related deliverables; and

WHEREAS, the parties desire to modify and supplement certain terms of the Agreement as set forth in this Addendum to address additional services, fees, and the term applicable to such services; and

WHEREAS, all capitalized terms used but not defined in this Addendum shall have the meanings set forth in the Agreement unless otherwise defined herein.

SCOPE OF ADDITIONAL SERVICES

Service Provider shall provide the additional services described below (the "Additional Services"). The Additional Services are incorporated into and made part of the Agreement. Service Provider shall perform the Additional Services in a professional and workmanlike manner consistent with prevailing industry standards.

PAYMENT TERMS

In consideration of the Additional Services, Member shall pay Service Provider as set forth below. All payments due under this Addendum are in addition to amounts payable under the Agreement unless expressly stated otherwise.

All amounts payable hereunder shall be paid in lawful currency, free and clear of any deduction, setoff or withholding, except as required by applicable law. If Member disputes any portion of an invoice in good faith, Member shall pay the undisputed portion in accordance with this Addendum while the parties resolve the dispute in accordance with the Agreement.

TERM AND TERMINATION

The term of this Addendum shall commence on and shall continue until , unless earlier terminated in accordance with this Addendum or the Agreement.

Either party may terminate this Addendum for convenience upon days' prior written notice to the other party. Either party may terminate for material breach in accordance with the Agreement. Termination of this Addendum shall not relieve Member of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

All information disclosed by either party in connection with the Additional Services that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information") shall be subject to the confidentiality protections set forth in the Agreement. The receiving party shall not use Confidential Information except to perform its obligations under this Addendum and shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

REPRESENTATIONS, INDEMNIFICATION, AND LIMITATION OF LIABILITY

Each party represents that it has the full right, power and authority to enter into and perform this Addendum. To the extent permitted by law and except as expressly limited by the Agreement, each party shall indemnify and hold harmless the other from claims arising out of its negligence, willful misconduct, or breach of this Addendum.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the Additional Services and supersedes all prior discussions, understandings and agreements relating thereto. Except as expressly modified herein, all terms and conditions of the Agreement remain in full force and effect. Any further amendment must be in a written instrument signed by authorized representatives of both parties.
