WHEREAS, the individual or entity identified below (Member) desires to enroll in the membership program and agrees to comply with the terms and conditions of this Agreement.

Scope of Membership Services

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the intended termination date. Organization may suspend membership immediately for violations of rules, nonpayment, or conduct detrimental to the Organization or other members.

Confidentiality

The Member and the Organization each agree to keep confidential all non-public information obtained solely in connection with the membership relationship and to use such information only for purposes permitted by this Agreement. Confidential information does not include information which is or becomes publicly available through no fault of the receiving party, disclosed pursuant to law or court order, or independently developed by the receiving party without use of the disclosing party's confidential information.

Waiver, Liability, and Indemnification

Member acknowledges inherent risks associated with participation in membership activities. To the maximum extent permitted by law, Member releases the Organization from liability for personal injury or property damage arising from membership use, and agrees to indemnify and hold Organization harmless from third-party claims arising from Member's actions or omissions in connection with the membership.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the state specified by the Organization. Disputes will be resolved in the courts having jurisdiction where the Organization maintains its principal place of business unless the parties agree in writing otherwise.

Entire Agreement

This document, including any attachments or schedules, constitutes the entire agreement between the parties with respect to membership and supersedes all prior oral or written agreements. Any amendment must be signed by both parties in writing.
