MEMBERSHIP SUBSCRIPTION AGREEMENT

This Membership Subscription Agreement (the "Agreement") is entered into as of Effective Date: by and between Company Name: , and Subscriber Name: . Company and Subscriber may each be referred to herein as a "Party" and collectively as the "Parties."

WHEREAS, Company provides membership services, access to proprietary content, community features, and related benefits as described herein (the "Services"); and

WHEREAS, Subscriber desires to obtain, and Company desires to grant, a subscription to the Services on the terms and conditions set forth in this Agreement.

WHEREAS, the Parties intend for this Agreement to govern Subscriber's access to membership benefits and payment obligations for the selected subscription tier.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the membership benefits, content, tools, and community features provided by Company to Subscriber as described in Section 2. "Subscription Term" means the period during which Subscriber is entitled to access the Services as set forth in Section 3.

2. SUBSCRIPTION SERVICES

2.1 Grant. Subject to Subscriber's compliance with this Agreement, Company grants Subscriber a non-exclusive, non-transferable right to access and use the Services during the Subscription Term solely for Subscriber's internal, personal or business purposes as applicable.

2.2 Subscription Tier. Subscriber selects the following subscription tier: . Company will provide the features and access levels associated with the selected tier as described in Company's membership materials.

3. TERM; RENEWAL; CANCELLATION

3.1 Initial Term. The Subscription Term commences on Start Date: and continues for an initial period of months (the "Initial Term"), unless earlier terminated in accordance with this Agreement.

3.2 Renewal. Unless either Party provides written notice of non-renewal at least days prior to the end of the then-current term, the Subscription Term will automatically renew for successive periods equal to the Initial Term. Auto-renewal:

3.3 Cancellation; Termination for Convenience. Subscriber may terminate for convenience upon providing days' prior written notice. Termination shall not relieve Subscriber of payment obligations accrued prior to the effective date of termination or for any prepaid non-refundable fees.

4. FEES AND PAYMENT

4.1 Subscription Fees. Subscriber agrees to pay the subscription fees in the amount of per , plus any applicable taxes. Fees are due in advance unless otherwise agreed.

4.2 Payment Method. Subscriber authorizes Company to charge Subscriber's designated payment method for fees and any applicable taxes. Payment Method Description:

4.3 Late Payment; Suspension. Overdue amounts shall bear interest at the lesser of 1.5% per month or the maximum permitted by law. In addition, Company may suspend Subscriber's access to the Services if payment is more than days late.

5. USE RESTRICTIONS; ACCOUNT SECURITY

Subscriber shall not (a) reproduce, distribute, or sell Services content except as expressly permitted; (b) attempt to circumvent access controls, scrape content, or perform any action that interferes with the operation of the Services; or (c) use the Services in violation of applicable law. Subscriber is responsible for maintaining the confidentiality of account credentials and for all activity under Subscriber's account.

6. INTELLECTUAL PROPERTY

All rights, title and interest in and to the Services and all related intellectual property are and will remain the sole property of Company. Subscriber is granted only the limited license expressly set forth in this Agreement. Subscriber shall not remove or alter any proprietary notices affixed to any materials provided by Company.

7. CONFIDENTIALITY

Each Party shall treat the other Party's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party, or that is rightfully received from a third party not in breach of any obligation of confidentiality.

8. WARRANTIES; DISCLAIMERS; LIMITATION OF LIABILITY

Company warrants that it will provide the Services in a professional manner consistent with general industry standards. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. COMPANY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY SUBSCRIBER TO COMPANY DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION

Subscriber shall indemnify, defend and hold harmless Company and its officers, directors, employees and agents from and against any and all third-party claims, liabilities, losses, damages and expenses arising from Subscriber's breach of this Agreement, Subscriber's misuse of the Services, or Subscriber's violation of applicable law.

10. NOTICES

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth below (or to such other address as either Party may designate in writing). Notice shall be deemed given upon personal delivery, three days after deposit in the U.S. mail, or one day after delivery to a nationally recognized overnight courier.

11. MISCELLANEOUS

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Parties: , without regard to its conflict of law principles.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

11.3 Amendments. No modification, amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both Parties.

11.4 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith a substitute provision that preserves the Parties' intent.

11.5 Waiver; Remedies. The failure of either Party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision. The Parties' rights and remedies under this Agreement are cumulative and in addition to all other remedies available at law or equity.

11.6 Assignment. Subscriber shall not assign this Agreement or any of its rights hereunder without Company's prior written consent, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.
