RECITALS

WHEREAS, the Organization administers membership programs offering access to services, benefits, and materials described herein; and

WHEREAS, the Applicant seeks to subscribe to the Organization's membership program under the terms and conditions set forth in this Membership Subscription Application and any resulting Membership Agreement; and

WHEREAS, the Organization and Applicant desire to set forth the scope, payment terms, term and termination, confidentiality obligations, and governing law applicable to the membership relationship.

PAYMENT TERMS

The Applicant agrees to pay the membership fee and any applicable taxes and charges in accordance with the schedule below. Fees are non-refundable except as expressly provided in this Application or in a separate written agreement signed by an authorized representative of the Organization.

Payments are due within the period identified in the Payment Schedule. Unpaid balances shall accrue the Late Fee and the Applicant shall be responsible for collection costs, including reasonable attorneys’ fees. The Organization reserves the right to suspend membership privileges for delinquent accounts following ten (10) days' written notice.

TERM AND TERMINATION

The membership term shall commence on the membership start date accepted by the Organization and continue for the period selected by the parties. Membership automatically renews at the end of each term unless either party provides written notice of non-renewal in accordance with this section.

Either party may terminate this membership for material breach if the breaching party fails to cure such breach within thirty (30) days after written notice. Termination does not relieve Applicant of obligations to pay accrued fees or amounts due through the effective date of termination.

CONFIDENTIALITY

The parties acknowledge that, in the course of performance, each may receive confidential or proprietary information ("Confidential Information"). Each party agrees to: (a) hold Confidential Information in confidence and use it solely for purposes of performing obligations under this membership; (b) limit disclosure to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information excludes information that is (i) publicly available without breach, (ii) rightfully received from a third party without confidentiality obligations, (iii) independently developed without use of Confidential Information, or (iv) required to be disclosed by law, provided prompt notice is given to allow the other party to seek protective measures.

GOVERNING LAW

This Application and any resulting Membership Agreement shall be governed by and construed in accordance with the laws of the state selected by the Organization. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes arising under or related to this Application.

ENTIRE AGREEMENT

This Application, together with any attachments and the Organization's membership policies incorporated herein by reference, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. Any modification must be in writing and signed by an authorized representative of each party.

ACKNOWLEDGMENTS AND CONSENTS

By signing below, the Applicant certifies that the information provided is true and complete, authorizes the Organization to charge the membership fee according to the Payment Terms, agrees to comply with applicable membership policies, and acknowledges that membership privileges may be suspended or terminated for failure to pay fees or for breaches of material obligations.
