Recitals (WHEREAS)

WHEREAS, Service Provider: provides membership services, access, and benefits as described in the Provider's membership materials; and

WHEREAS, Member Name: is currently enrolled and desires to renew the membership on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises contained in this Renewal Agreement, the parties agree as follows.

Scope of Services

The Provider shall continue to furnish the Member with membership benefits, access, and services for the renewed term. Describe specific services, inclusions, limits, and any exclusions below:

Late Payment: A late fee of $ or interest at per month, whichever is greater, shall apply to overdue balances. Member agrees to pay all collection costs and reasonable attorney fees for collection of past due amounts.

Notice of non-renewal or termination for convenience must be provided in writing at least days prior to the then-current renewal date. Termination for material breach is effective upon written notice where the breaching party fails to cure within 30 days of receipt of notice.

Confidentiality

Each party shall treat as confidential all information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall use the confidential information solely to perform its obligations under this Renewal Agreement and shall not disclose it to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. This obligation shall survive termination for a period of two (2) years.

Governing Law; Dispute Resolution

This Renewal Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties shall first attempt in good faith to resolve disputes by negotiation; if unresolved, disputes shall be resolved in the state or federal courts located in the governing jurisdiction.

If Member elects credit card or ACH billing, Member certifies that they have authority to approve charges to the applicable account. Member consents to receiving invoices and notices electronically at the email address provided unless otherwise revoked in writing.

Entire Agreement

This Renewal Agreement, together with any written policies or membership terms expressly incorporated by reference herein, constitutes the entire agreement between the parties with respect to the renewal of the membership and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the parties relating to the subject matter of this Renewal Agreement. Any modification must be in a writing signed by both parties.

Additional Terms

Refund policy, prorations, and special promotional terms (if any) shall be described here. Unless otherwise stated, fees are non-refundable except as required by applicable law. Provider reserves the right to modify the scope of services upon prior notice where such modification does not materially reduce the benefits provided to Member.
