MEMBERSHIP UNION CARDS AGREEMENT

This Membership Union Cards Agreement (the "Agreement") is entered into between Issuer Name: (the "Issuer"), and Recipient Name: (the "Recipient") as of Effective Date: .

WHEREAS

WHEREAS, the Issuer is the authorized organization responsible for issuing membership union identification cards and maintaining an accurate register of active members; and

WHEREAS, the Recipient seeks to obtain and/or procure production and management services for Membership Union Cards to be used by the Recipient's members subject to the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows.

SCOPE OF WORK

The Issuer shall produce and deliver Membership Union Cards and associated ancillary services as described below. The parties acknowledge that specific production specifications, card security features, formatting, and distribution logistics are material to this Agreement.

PAYMENT TERMS

The Recipient shall pay the Issuer for card production, personalization, and related services in accordance with the following terms. Unless otherwise stated, all amounts are payable in lawful currency.

All invoices not paid within the agreed period shall bear interest at the rate set forth in Late Fee. The Recipient will also be responsible for reasonable collection costs, including attorneys' fees, for overdue amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement immediately for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within thirty (30) days after receipt of written notice. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means nonpublic information disclosed in connection with this Agreement, including member lists, cardholder data, production specifications, security protocols, and pricing.

The receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to third parties except as required for performance hereunder; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) implement and maintain commercially reasonable safeguards to protect Confidential Information. Confidential Information shall not include information that is publicly available other than by breach of this Agreement or independently developed without reference to the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, including all attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that the Issuer may assign to an affiliate or successor in interest provided that such assignee assumes all obligations hereunder.

Data Protection: Each party shall comply with applicable data protection and privacy laws in handling personal data associated with membership cards. The parties shall implement reasonable technical and organizational measures to protect cardholder data.
