MEMBERSHIP UPGRADE AGREEMENT

CONFIDENTIALITY

Each party shall maintain as confidential all proprietary or non-public information disclosed by the other party in connection with the upgrade ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes publicly known without breach, (b) was rightfully known to the receiving party prior to disclosure, (c) is received from a third party without breach of any obligation of confidentiality, or (d) is independently developed. The receiving party shall use Confidential Information solely for performance under this Agreement and shall take reasonable measures to protect it.

Disclosure required by law is permitted if the disclosing party provides prior notice and cooperates with the other party to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Exclusive venue for disputes shall be in the courts located in that state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or schedules expressly incorporated, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings.
