MEMBERSHIP WAIVER AND AGREEMENT

Member Information

Recitals

WHEREAS, Organization Name: (the "Organization") operates facilities, programs, and services for which membership is offered; and

WHEREAS, Member Name: wishes to participate in membership activities and understands the risks associated with such participation; and

NOW, THEREFORE, in consideration of being granted membership and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Scope of Membership and Services

The Organization shall provide access to the facilities, equipment, classes, and services described below. Member acknowledges that the services are subject to the Organization's rules, scheduling, and capacity limits.

Assumption of Risk, Waiver and Release

Member acknowledges that participation in membership activities inherently involves risk of bodily injury, death, or property damage. Member voluntarily assumes all such risks, whether known or unknown, foreseeable or unforeseeable.

In consideration of the privileges of membership, Member releases, waives, discharges, and covenants not to sue the Organization, its officers, directors, employees, agents, volunteers, and contractors (collectively, the "Released Parties") from all liability for claims, demands, losses, or damages on account of injury, death, or property damage arising out of or related to Member's participation, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

Member initial to acknowledge understanding and acceptance: I acknowledge I have read and understand the Assumption of Risk and Waiver and Release above.

Payment Terms

Member agrees to pay the membership fee and any applicable taxes, enrollment fees, or other charges as provided below.

Term and Termination

This Agreement commences on the Start Date below and continues until the End Date below or until terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above. Termination does not relieve Member of any payment obligations accrued prior to termination.

Confidentiality

Each party shall maintain in confidence any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information does not include information that is or becomes generally available to the public other than through unauthorized disclosure.

Medical and Fitness Representation

Member represents that Member is physically fit and capable of participation in membership activities. Member will notify Organization of any medical condition that may affect ability to participate safely.

Indemnification

Member shall indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, losses, costs, and expenses (including attorneys' fees) arising out of or related to Member's negligence, willful misconduct, breach of this Agreement, or use of the Organization's facilities or services, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

Photographs and Media

Member grants Organization the right to take and use photographs, video, and other media of Member taken in connection with Organization activities for promotional, informational, and archival purposes, unless Member checks below to withhold consent.

I withhold consent for use of my image or likeness by the Organization.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any disputes arising under this Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

Acknowledgment and Certification

By signing below, Member certifies that Member has read this Agreement, understands its terms, and agrees to be bound by them. Member acknowledges receipt of any rules, waivers, or notices provided by Organization and understands that failure to comply may result in suspension or termination of membership.
