MERCHANDISING LICENSE AGREEMENT

This Merchandising License Agreement ("Agreement") is entered into as of by and between Licensor Name: and Licensee Name: .

RECITALS

WHEREAS, Licensor is the owner of certain trademarks, trade names and indicia of origin described herein (the "Licensed Marks") that are used in connection with entertainment, consumer goods and related merchandising; and

WHEREAS, Licensee desires to obtain from Licensor, and Licensor is willing to grant to Licensee, a license to manufacture, distribute and sell merchandise bearing the Licensed Marks in the Territory on the terms and subject to the conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth the respective rights, obligations, compensation and quality standards applicable to such license grant.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. GRANT OF LICENSE

1.1 Grant. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a exclusive non-exclusive, non-transferable right and license to use the Licensed Marks solely in connection with the manufacture, marketing, promotion and sale of the products set forth in Licensed Products Description:

1.2 Territory. The license granted hereunder is limited to the Territory: .

1.3 Term. The term of this Agreement shall commence on and expire on unless earlier terminated in accordance with Section 10.

2. CONSIDERATION; PAYMENTS

2.1 Royalties. Licensee shall pay Licensor a royalty equal to of Net Sales of Licensed Products. "Net Sales" means gross invoiced sales less customary discounts, returns and taxes.

2.2 Minimum Guarantee. Licensee agrees to pay Licensor a minimum annual guarantee in the amount of payable as follows: .

2.3 Payment Terms. Royalties and other amounts due hereunder shall be paid within days after the close of each calendar quarter, accompanied by a statement reasonably detailing the calculation of such amounts.

3. QUALITY CONTROL

3.1 Standards. Licensee shall maintain product quality, packaging and advertising standards at least equal to Licensor's then-current standards and shall not degrade the image or goodwill associated with the Licensed Marks.

3.2 Samples and Approvals. Licensee shall submit samples, mock-ups and specifications to Licensor for approval. Licensor shall provide written approval or rejection within days of receipt; failure to respond shall be deemed approval.

3.3 Right of Inspection. Licensor or its designee shall have the right, upon reasonable notice, to inspect Licensee's facilities and products for compliance with the standards set forth in this Agreement.

4. INTELLECTUAL PROPERTY; OWNERSHIP

4.1 Ownership. Licensor retains all right, title and interest in and to the Licensed Marks and any goodwill arising from Licensee's use thereof. Licensee shall not contest, challenge or assist others to challenge Licensor's rights in the Licensed Marks.

4.2 Use of Marks. Licensee's use of the Licensed Marks shall inure solely to the benefit of Licensor, and Licensee shall not adopt or use any confusingly similar marks.

5. REPRESENTATIONS AND WARRANTIES

5.1 By Licensor. Licensor represents and warrants that (a) it has the full right and authority to grant the license granted herein, (b) to the best of its knowledge the Licensed Marks do not infringe the rights of third parties, and (c) it will cooperate in enforcement of the Licensed Marks against third parties.

5.2 By Licensee. Licensee represents and warrants that it is duly organized and in good standing, has the authority to enter this Agreement, and will comply with applicable laws and regulatory requirements in the manufacture, distribution and sale of Licensed Products.

6. INDEMNIFICATION

Licensee shall indemnify, defend and hold harmless Licensor, its officers, directors and agents from and against any and all claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Licensee's manufacture, distribution, sale or promotion of Licensed Products, except to the extent caused by Licensor's gross negligence or willful misconduct.

7. INSURANCE

Licensee shall, at its expense, maintain commercial general liability insurance and product liability insurance with limits not less than per occurrence and shall name Licensor as an additional insured with respect to claims arising from Licensed Products.

8. RECORDS; AUDIT RIGHTS

Licensee shall keep accurate and complete books and records pertaining to sales of Licensed Products for a period of at least years. Licensor shall have the right, upon reasonable notice and during normal business hours, to audit such records not more than once per twelve-month period unless discrepancies exceeding are discovered.

9. TERMINATION

9.1 For Cause. Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice specifying the breach.

9.2 Insolvency. Licensor may terminate immediately upon Licensee's insolvency, bankruptcy filing or appointment of a receiver for Licensee's assets.

10. EFFECTS OF TERMINATION

Upon termination or expiration, Licensee shall immediately cease all use of the Licensed Marks except that Licensee may (choose one): sell off existing inventory for a period of days return or destroy remaining inventory as directed by Licensor.

11. ASSIGNMENT; SUBLICENSE

Licensee shall not assign or transfer this Agreement, or grant a sublicense, without the prior written consent of Licensor, which consent shall not be unreasonably withheld. Any attempted assignment without consent shall be void.

12. CONFIDENTIALITY

Each party shall keep confidential and not disclose to third parties any proprietary or confidential information of the other party disclosed in connection with this Agreement, except as required by law or as necessary to perform its obligations hereunder.

13. NOTICES

Notices to Licensor

All notices shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three business days after deposit in the mail when sent by certified mail, postage prepaid, to the addresses set forth above or to such other address as either party may designate by notice to the other.

14. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original.

15. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws provisions. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for disputes arising under this Agreement.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any exhibits or schedules hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations and agreements. If any provision of this Agreement is held invalid or unenforceable, that provision shall be modified to the extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect.

17. MISCELLANEOUS

The parties acknowledge that monetary damages may be inadequate and that Licensor shall be entitled to seek injunctive relief and specific performance for any breach of the provisions protecting the Licensed Marks or confidential information, in addition to any other remedies available at law or equity.

Expenses: The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
