WHEREAS, Merchant has applied for payment processing services to accept card, electronic and other payment methods and has provided information to Processor in connection with such application; and

WHEREAS, Processor, subject to its review and approval of Merchant's application and supporting documentation, is willing to provide merchant acquiring and payment processing services on the terms and conditions set forth in this Merchant Application Form and Merchant Services Agreement; and

WHEREAS, the parties intend that this document constitute the application, the agreement memorializing the services, and the certification by Merchant with respect to information provided herein.

PAYMENT TERMS

Merchant agrees to pay Processor fees and charges for services as set forth below. All fees are exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues for the term specified below unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Processor reserves the right to suspend services immediately upon reasonable belief of fraud, regulatory risk, chargeback exposure, or material misrepresentation by Merchant.

CONFIDENTIALITY

Each party will keep confidential and will not disclose the other party's Confidential Information except to those employees, agents, advisors, or service providers who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information includes, without limitation, rates, fee schedules, merchant processing data, settlement reports, and any non-public business or financial information. Obligations of confidentiality survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. Exclusive venue for disputes shall be the state or federal courts located within such state, subject to any mandatory arbitration provisions set forth in a separate rider executed by the parties.

ENTIRE AGREEMENT

This Merchant Application Form together with any schedules, exhibits, and Processor's merchant processing agreement terms incorporated herein constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS AND AUTHORIZATIONS

Merchant certifies that the information provided in this application is true, complete and accurate. Merchant authorizes Processor to verify any information provided, to obtain credit reports and to exchange data with card brands, banks, and third-party risk or compliance providers as required to provide services and to perform ongoing risk monitoring. Merchant agrees to promptly notify Processor of any material changes to information provided herein.
