Parties

WHEREAS

WHEREAS, Releasor has created or contributed certain photographs, images, videos, or other visual media (collectively "Images") which have been transmitted or will be transmitted via messaging applications under Releasor's control; and

WHEREAS, Releasee desires a perpetual, transferable right to use such Images for permitted purposes described below, and Releasor is willing to grant such rights subject to the terms and conditions set forth in this Agreement.

Grant of Rights

Releasor hereby grants to Releasee a non-exclusive/exclusive (select as applicable) right and license to use, reproduce, display, distribute, transmit via messaging applications, archive, and create derivative works of the Images in connection with Releasee's business activities, marketing, internal communications, and related purposes worldwide and in any media now known or hereafter developed, subject to the restrictions set forth in the Scope of Work.

Term and Termination

This Agreement commences on and continues until unless earlier terminated as provided herein.

Either party may terminate for material breach if such breach remains uncured for the notice period above. Termination does not affect rights granted prior to termination and does not relieve payment obligations accrued prior to termination.

Confidentiality and Privacy

The parties acknowledge that certain Images may contain personally identifying information. Releasee agrees to treat Images in accordance with reasonable privacy and confidentiality practices and to limit access to authorized personnel only. Releasee will not sell or transfer Images to unaffiliated third parties except as required for the permitted uses or as authorized in writing by Releasor.

Consent for Minors

Representations, Warranties, and Indemnity

Releasor represents and warrants that Releasor owns or otherwise has the full right to grant the rights granted hereunder; that the Images do not infringe the rights of any third party; and that no other consents are required. Releasor will indemnify and hold harmless Releasee from losses, claims, and expenses arising out of any breach of these representations.

Releasee represents that it will use the Images only as permitted and will provide attribution where required by agreement. Releasee will indemnify Releasor for claims arising from Releasee's misuse of the Images beyond the scope granted.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous

If any provision is held unenforceable, the remaining provisions remain in full force. Headings are for convenience only and do not affect interpretation. Neither party may assign this Agreement except with prior written consent of the other, except that Releasee may assign to an affiliate or in connection with a merger or sale of substantially all assets.
