MIGRATION SERVICE AGREEMENT

This Migration Service Agreement (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Client requires the migration of certain data, applications, and related services from existing systems to a target environment as described in this Agreement; and

WHEREAS, Service Provider has the technical expertise and resources to perform migration services including planning, extraction, transformation, testing, and cutover activities; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the migration services described below. Deliverables shall include migration plan, extracted data sets, transformed data, migration scripts, test reports, and a final cutover report. The parties acknowledge that changes to the scope may require a written change order signed by both parties.

PAYMENT TERMS

Total Fee: payable in accordance with the schedule below. All fees are exclusive of applicable taxes unless otherwise specified.

Late Payment: If any undisputed amount is not paid within days of the invoice due date, Service Provider may charge interest at per month or the maximum allowed by law, whichever is less.

Invoicing: Service Provider will submit invoices in accordance with the schedule above. Client shall pay undisputed invoices within days of receipt. Disputed invoice amounts shall be raised in writing with supporting details within such payment period.

TERM AND TERMINATION

This Agreement commences on , and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure such breach within days after written notice. Either party may terminate without cause upon days' prior written notice.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred up to the effective date of termination, including any non-cancellable commitments and reasonable wind-down costs.

CONFIDENTIALITY

Each party (Recipient) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (Discloser) disclosed in connection with this Agreement. Confidential Information includes non-public business, technical, or financial information, migration scripts, mappings, credentials, and any data marked confidential or that reasonably should be understood to be confidential.

The obligations of confidentiality will not apply to information that: (a) is or becomes generally known to the public other than by breach of this Agreement; (b) was rightfully known by Recipient prior to disclosure; (c) is independently developed without use of Discloser's Confidential Information; or (d) is required to be disclosed by law or court order, provided Recipient gives prompt notice to Discloser and cooperates to seek protective measures.

Upon expiration or termination of this Agreement, Recipient shall promptly return or irreversibly delete Discloser's Confidential Information and certify in writing compliance with this obligation, except as required to retain minimal archival copies for legal or regulatory compliance.

WARRANTIES; LIMITATION OF LIABILITY; INDEMNITY

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except for the foregoing warranty, services are provided "AS IS" and Service Provider disclaims all other warranties, express or implied.

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability arising from or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the six (6) months preceding the claim.

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, subject to the indemnified party providing prompt written notice and reasonable cooperation.

DATA PROTECTION; ACCESS

Client retains ownership of its data. Service Provider will implement reasonable administrative, technical, and physical safeguards to protect Client data. Service Provider's access to Client systems and data shall be limited to employees or contractors who have a business need and are subject to confidentiality obligations.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between senior representatives. If unresolved, disputes may be submitted to binding arbitration in the governing state unless the parties mutually agree to litigation.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or change orders signed by both parties, constitutes the entire agreement and supersedes all prior and contemporaneous agreements, proposals, and communications concerning the subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets. Notices under this Agreement shall be in writing and delivered to the contact information provided above.
