MINERAL LEASE AGREEMENT

PARTIES AND EFFECTIVE DATE

This Mineral Lease Agreement (the "Lease") is made and entered into on the day of , (the "Effective Date"), by and between:

PROPERTY DESCRIPTION

GRANT AND TERM

Lessor hereby leases and grants to Lessee the exclusive right to explore for, drill, produce, and remove oil, gas, hydrocarbons and other minerals (collectively, "Minerals") from the land described above, together with the rights of ingress and egress for such purposes, subject to the terms and conditions of this Lease. The primary term shall be years commencing on the Effective Date, and so long thereafter as production of hydrocarbons is maintained under the terms of this Lease.

CONSIDERATION, ROYALTIES AND PAYMENTS

Lessee shall pay to Lessor a royalty equal to percent ( % ) of Lessee's interest in the gross production of oil, gas, casinghead gas, and other hydrocarbons at the wellhead, free of costs of production, except as expressly provided herein.

Royalty payments shall be made monthly within days after the end of the calendar month in which production is sold. Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

OPERATIONS, POOLING, AND UNITIZATION

Lessee shall have the right to drill, operate, and to conduct operations reasonably necessary to produce Minerals, including the right to pool or unitize the leased area with other lands. Any pooling or unitization shall preserve Lessor's proportional royalty interest and shall not result in a reduction of royalty rate set forth in this Lease unless agreed in writing by Lessor.

COVENANTS, MAINTENANCE AND SURFACE USE

Lessee covenants to conduct operations in a good and workmanlike manner and to minimize surface damage. Lessee shall restore disturbed surface as reasonably practicable and shall repair any damage caused by Lessee's operations. Lessor shall not be obligated to make any expenditures under this Lease.

TITLE, WARRANTIES AND TAXES

Lessor warrants that Lessor owns the mineral rights described and has the authority to execute this Lease, subject to usual title exceptions. Taxes and assessments assessed solely against Lessee's operations and production shall be paid by Lessee; ad valorem taxes assessed against the property or mineral estate shall remain Lessor's obligation unless otherwise agreed in writing.

ENVIRONMENTAL AND INDEMNITY

Lessee shall comply with all applicable environmental laws and shall indemnify, defend and hold Lessor harmless from liabilities arising out of Lessee's operations, except to the extent caused by Lessor's gross negligence or willful misconduct. Lessee shall promptly remediate any contamination caused by its operations.


DEFAULT, REMEDIES AND TERMINATION

A party shall be in default upon failure to cure material breach within thirty (30) days after written notice, provided that if the default is not reasonably susceptible to cure within thirty (30) days, the curing party shall not be in default if it commences cure within thirty (30) days and diligently prosecutes cure to completion. Remedies shall include specific performance, injunctive relief, and damages, and shall be cumulative except where otherwise limited by law.

NOTICES

Notices must be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail to the addresses provided in this Lease, and shall be effective upon receipt.

ASSIGNMENT

Lessee may assign this Lease or an interest hereunder, provided that any assignee shall assume in writing the obligations of Lessee. Assignment shall not relieve Lessee of its obligations unless Lessor expressly releases Lessee in writing.

GOVERNING LAW; ENTIRE AGREEMENT

This Lease shall be governed by and construed in accordance with the laws of the state in which the property is located. This instrument constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.

REPRESENTATIONS AND CERTIFICATIONS

Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Lease and to perform its obligations hereunder; (b) the execution and delivery of this Lease has been duly authorized by all necessary corporate, trust, partnership or individual action; and (c) when executed and delivered by the parties, this Lease will constitute a legal, valid and binding obligation enforceable against such party in accordance with its terms.
