MINERALS BUSINESS AGREEMENT

This Minerals Business Agreement ("Agreement") is made effective as of Effective Date: by and between the parties set forth below.

PARTIES

RECITALS

WHEREAS, Party A is the owner or authorized lessee of certain mineral rights and subsurface interests located in the geographic areas identified in the annexes, and is willing to engage Party B to perform mineral exploration, development, production, marketing, and related business activities under the terms set forth herein; and

WHEREAS, Party B represents that it has the technical expertise, personnel, and financial capacity to perform the Scope of Work described in this Agreement and to comply with applicable law and industry standards; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to operations, compensation, confidentiality, and allocation of risk in a single binding agreement.

SCOPE OF WORK

Party B shall perform the following services and deliverables with respect to the mineral interests identified by Party A. Party B shall perform all work in a professional manner consistent with prevailing industry standards and applicable laws and regulations.

PAYMENT TERMS

In consideration for the services and rights granted under this Agreement, Party A shall pay Party B in accordance with the following terms.

All payments are due within Payment Due Days: days of the date of invoice, unless otherwise agreed in writing.

Late payments shall accrue interest at a rate of Late Fee Percent: per month (or the maximum permitted by law), plus reimbursement of reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for Cause upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within Cure Period (days): after receipt of written notice specifying the breach. In addition, either party may terminate for Convenience upon Provision of Notice: days' prior written notice to the other party; termination for Convenience shall be subject to agreed wind-down and settlement obligations set forth herein.

CONFIDENTIALITY

Each party (Receiving Party) shall keep confidential and not disclose to any third party any nonpublic information furnished by the other party (Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) was in the public domain at the time of disclosure; (b) becomes part of the public domain through no fault of the Receiving Party; (c) was lawfully in the Receiving Party's possession before receipt from the Disclosing Party; or (d) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to its employees, contractors, or advisors who have a need to know provided that such persons are bound by confidentiality obligations at least as protective as those in this Section. The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

REPRESENTATIONS AND WARRANTIES; INDEMNIFICATION

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder. Party A represents that it has, and will maintain, all rights, title and interest necessary to grant the rights and permits described in this Agreement. Party B represents that it will perform services in a commercially reasonable manner in accordance with industry standards.

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of third-party claims to the extent caused by the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or a breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, punitive, special or exemplary damages, and total aggregate liability arising under or in connection with this Agreement shall be limited to the total amount actually paid under this Agreement during the twelve (12) months preceding the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by hand delivery, nationally recognized overnight courier, certified mail (return receipt requested), or electronic mail when accompanied by a copy delivered by one of the foregoing methods.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing Jurisdiction: without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction of the courts located within that jurisdiction for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement (including all exhibits and schedules attached hereto) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all of its assets, or corporate reorganization provided that the assignee assumes all obligations hereunder. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
