What a Mini Split Agreement Is and when it applies

A Mini Split Agreement is a written contract between a property owner and a contractor that defines the sale, delivery, installation, inspection, and warranty terms for a ductless mini‑split HVAC system. It documents equipment specifics (make, model, serial numbers), project scope, site access, permit responsibility, payment schedule including deposits, completion milestones, warranty coverage, and acceptance criteria. The agreement clarifies who obtains permits and inspections, assigns responsibilities for code compliance, and records signatory authority so work, payments, and warranty starts are unambiguous for both residential and commercial projects.

Why a clear Mini Split Agreement matters

A concise agreement reduces disputes, sets expectations for permits and inspections, protects warranty coverage, and documents payment terms so both parties understand scope, timing, and remedies.

Why a clear Mini Split Agreement matters

Typical parties and use contexts

Use this agreement whenever equipment, permits, inspections, or payment schedules could be contested later.

  • Homeowners replacing or adding HVAC who need written scope, pricing, and warranty clarity.
  • HVAC contractors documenting permits, equipment specs, license numbers, and acceptance criteria.
  • Property managers and landlords coordinating installations across multiple units or properties.

Core sections every professional Mini Split Agreement should include

A well-structured agreement groups obligations into scope, equipment and serial numbers, price and payment schedule, timeline and milestones, warranty and service terms, and permit/inspection responsibilities to reduce ambiguity and support enforcement.

Scope of Work

Describe installation tasks, site prep, electrical work, refrigerant handling procedures, and any structural modifications required so expectations are precise and measurable.

Equipment Details

List manufacturer, model, serial numbers, indoor/outdoor units, line set lengths, and accessory items to tie warranty and replacement obligations to specific products.

Price & Payments

State total price, deposit amount, payment schedule, approved change order process, and consequences for late payment or nonpayment.

Timeline & Milestones

Set installation window, permit application deadlines, inspection scheduling, and completion acceptance criteria to coordinate trades and inspections.

Warranty & Service

Specify manufacturer warranty transferability, contractor workmanship warranty period, response times for repairs, and conditions that void coverage.

Permits & Compliance

Assign who applies for permits, arranges inspections, and ensures work meets local code and manufacturer installation requirements.

Step-by-step: completing and executing the agreement

Follow a consistent, documented workflow from quote to final acceptance to minimize errors and inspection delays.

  • 01
Prepare Quote: Draft scope, equipment list, price, and tentative schedule.
  • 02
Confirm Permits: Identify permit needs and who will apply.
  • 03
Schedule Installation: Agree on start date, site access, and required trades.
  • 04
Final Inspection: Obtain inspection signoff and customer acceptance.

Permit Application Deadline:

Submit within 5–14 business days after contract acceptance depending on local jurisdiction.

Deposit Due:

Deposit typically due within 3 business days of signed agreement.

Installation Window:

Specify scheduled start and expected completion range in business days.

Final Payment:

Warranty Registration:

Register manufacturer warranty within stated period, often 30–90 days.

Key project milestones from acceptance to warranty start

Track these sequential milestones to coordinate permits, inspections, and payment releases.

01

Acceptance of Quote

Customer signs agreement and pays deposit to start permitting.

02

Permit Submission

Contractor submits plans and pays permit fees for approval.

03

Installation & Commissioning

Technicians install units, test systems, and document commissioning data.

04

Inspection & Acceptance

Inspector signs off; final payment and warranty start follow acceptance.

Common mistakes to avoid when preparing the agreement

  • Vague scope or missing equipment serials leads to warranty disputes and manufacturer denial of claims.
  • Not allocating permit responsibility causes inspection failures and work stoppage.
  • Unclear payment milestones can result in withheld final payments or contractor lien actions.
  • Failing to include license numbers or insurance information can invalidate contractor claims and hinder enforcement.

Penalties and legal risks from an incomplete or incorrect agreement

Missing Permit: Work stoppage and municipal fines.
Unlicensed Contractor: Civil penalties and potential contract voiding.
Incorrect Equipment Specs: Warranty denial or recall exposure.
Late Inspections: Rework costs and inspection fines.
Payment Disputes: Mechanic's lien or collection actions.
Faulty Signatures: Enforceability challenges or rescission risk.
