MINIATURE EVENT PLANNING AGREEMENT

WHEREAS

WHEREAS, Client desires to retain Planner to provide event planning and coordination services for a small-scale event described herein; and

WHEREAS, Planner has represented that it possesses the experience, expertise and staff necessary to perform the services required for the miniature event and agrees to provide such services in accordance with the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. SCOPE OF WORK

Planner will provide planning, coordination and related services for the miniature event as described below. The parties acknowledge that the scope is limited to the tasks set forth in the Scope of Work and that any additional services will require a written change order pursuant to Section 4.

4. CHANGE ORDERS

Any material changes to the Scope of Work or additional services requested by Client must be authorized in writing by both parties in a change order. Planner shall not be required to perform additional services unless and until a written change order setting forth the scope, any additional fees and changes to schedule is signed by both parties. Client acknowledges that additional services may increase the Total Fee and/or alter scheduling.

5. TERM AND TERMINATION

Either party may terminate this Agreement for material breach by providing written notice and allowing days to cure. Client may cancel the event upon written notice; cancellation fees apply as follows: deposits are non-refundable, and additional cancellation charges will be assessed to cover non-recoverable costs as set forth by Planner.

6. CONFIDENTIALITY

Each party acknowledges that in performing under this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Confidential Information does not include information that is (a) publicly known at the time of disclosure; (b) rightfully received from a third party without restriction; or (c) independently developed without use of the other party's Confidential Information. Each party agrees to hold Confidential Information in strict confidence, to use it only for the performance of this Agreement, and not to disclose it to any third party except to its employees, agents or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. The obligations in this Section survive termination of this Agreement for a period of two years.

7. INSURANCE AND LIABILITY

Planner shall maintain general liability insurance customary for event planning services. Except for willful misconduct or gross negligence, Planner's liability for any claim arising from this Agreement shall be limited to direct damages not to exceed the Total Fee paid by Client to Planner under this Agreement. Neither party shall be liable for consequential, incidental or punitive damages.

8. INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence or willful misconduct in connection with performance of this Agreement.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT

This Agreement, including any written change orders executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement is binding unless made in writing and signed by both parties.

11. REPRESENTATIONS AND AUTHORITY
