What the Minimum F&B Agreement Is and when it applies

A Minimum F&B Agreement is a contract between an event host and a venue or caterer that specifies a guaranteed minimum food and beverage spend for an event, plus related services, menus, and payment terms. It allocates responsibility for meeting that minimum, defines what counts toward the guarantee (food, beverage, service charges, taxes), and establishes remedies for shortfalls or cancellations. These agreements are common for private events, banquets, and contracted venue buyouts where the vendor requires a baseline revenue commitment to reserve space or exclusive services.

Why a clear Minimum F&B Agreement matters

A well-drafted agreement removes ambiguity about minimum spend, reduces disputes over billing, and preserves venue revenue by defining refunds, credits, and cancellation fees in advance.

Why a clear Minimum F&B Agreement matters

Typical users and signing parties for Minimum F&B Agreements

Event managers, venue sales directors, corporate planners, and private clients commonly complete these agreements before confirming space or services.

  • Venue sales and catering teams responsible for revenue commitments and service delivery.
  • Corporate event planners and meeting organizers who guarantee spending to secure dates and accommodations.
  • Private hosts booking weddings or large gatherings where the venue requires a minimum food and beverage guarantee.

Signatures are usually required from an authorized venue representative and the client or their authorized agent to create an enforceable commitment.

Core elements every professional Minimum F&B Agreement should include

A concise agreement should clearly identify parties, the event scope, the minimum spend and what counts toward it, billing and payment mechanics, cancellation terms, and dispute resolution procedures.

Parties

Full legal names and roles for the venue and the contracting client, including authorized contact details and billing address.

Event Details

Date, start/end times, location within the venue, expected guest count, and any room setup or AV requirements as enforceable scope.

Minimum Spend

Specific dollar guarantee, whether pre-tax or inclusive of service charges, and the period during which purchases count toward the minimum.

Allowed Charges

Explicit list of line items that apply to the guarantee such as food, beverage, service fees, tax, gratuity, and third-party rentals.

Payment Terms

Deposit amounts, due dates, accepted payment methods, final invoice timing, and consequences for shortfalls or late payment.

Cancellation & Remedies
