Minimum subscription is a condition precedent to Issuer accepting any subscription. If aggregate subscriptions do not meet the minimum subscription amount by the Minimum Subscription Deadline, as set forth below, either party may terminate this Agreement in accordance with Section 6.

Representations and Warranties of Subscriber

The Subscriber represents and warrants to the Issuer that (a) the Subscriber is acquiring the Units for investment for its own account and not with a view to distribution; (b) the Subscriber has received and reviewed all offering documents reasonably necessary to evaluate the investment; and (c) the Subscriber meets all investor suitability requirements applicable to this offering.

Conditions to Closing

The obligations of the Issuer to accept the subscription and deliver Units are subject to the satisfaction, or waiver by the Issuer, of the following conditions precedent at or prior to closing: (i) the aggregate subscriptions meet or exceed the Minimum Subscription Amount; (ii) all representations and warranties of the Subscriber are true and correct on the Closing Date; (iii) receipt by the Issuer of all required funds and instruments; and (iv) no injunction or law prohibits the issuance of the Units.

Default; Remedies; Refunds

If a Subscriber fails to deliver funds required by the payment schedule or otherwise defaults, the Issuer may retain any deposit as liquidated damages, rescind the subscription, or pursue any equitable or legal remedies available. If the Issuer fails to meet the Minimum Subscription Amount by the Minimum Subscription Deadline, all deposits shall be returned to Subscribers unless the parties otherwise agree in writing.

Transfer Restrictions and Compliance

Subscriber acknowledges that Units issued pursuant to this Agreement are subject to transfer restrictions and may not be sold or transferred except in compliance with applicable law and any restrictions set forth in the Issuer's organizational documents or any restrictive legend affixed to certificates or records of ownership.

Taxes and Allocation of Expenses

Each party shall bear its own legal, accounting and other expenses in connection with the offering and closing unless otherwise agreed in writing. All taxes, duties and governmental charges arising in connection with the issuance of Units shall be paid by the Subscriber, except those taxes imposed on the Issuer by reason of its existence.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. This Agreement may be amended only by a writing signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
