What a Mining Business Resolution Is and When it’s Used

A Mining Business Resolution is a formal written record of corporate or organizational decisions specific to mining operations, such as authorizing permits, leases, capital expenditures, equipment purchases, bonding, or delegation of signing authority. It documents the board or member approval required by a company’s bylaws or operating agreement and typically includes an effective date, a clear description of the action approved, the authorized signers, and any limitations. Resolutions are used to demonstrate authority to regulators, banks, counter-parties, and permitting agencies and may be required when opening accounts, executing surface or mineral leases, or filing permit applications.

Why a Clear Resolution Matters for Mining Operations

A well-drafted resolution creates legal clarity about authorized actions and reduces operational friction with banks, state agencies, and partners; it also establishes an audit trail of corporate authority. Under ESIGN (15 U.S.C. ch. 96) and UETA, resolutions may be executed electronically where permitted, provided intent, consent, attribution, and retention requirements are met.

Why a Clear Resolution Matters for Mining Operations

Who prepares and relies on Mining Business Resolutions

Resolutions serve internal governance and external verification roles — keep a clear, signed copy accessible to stakeholders and regulators.

  • Corporate boards and managers authorizing leases, contracts, or capital projects for mining operations.
  • Legal counsel preparing formal language for regulatory submissions and bank authorizations.
  • Operations and permitting teams needing documented approvals for environmental, safety, or land-use filings.

Primary signatories and their roles

Board Chair

As the presiding corporate officer, the Board Chair typically certifies board actions and executes resolutions confirming major decisions such as large capital expenditures, lease approvals, or changes in executive authority. Their signature often satisfies third-party verification requirements for banks and regulators.

General Counsel

The General Counsel or corporate secretary prepares and certifies the resolution language, ensures compliance with bylaws and state corporate law, and preserves the corporate record, including minutes and any required attestations or notarial acknowledgements.

Core elements every Mining Business Resolution should include

A standard resolution contains specific clauses and metadata so recipients can verify authority, scope, timing, and any conditions tied to the decision.

Title

A concise heading identifying the resolution purpose, e.g., 'Authorization to Execute Mineral Lease — Parcel X'.

Recitals

Background statements that explain the context and statutory or contractual basis for the action being approved.

Resolved Clauses

Clear directives describing the action approved, any monetary limits, and the effective scope of authority granted.

Authorized Signers

Names, titles, and signature blocks for the individual(s) empowered to sign documents or execute transactions.

Effective Date

A stated date when the resolution takes effect and any express termination or review date.

Certification

A corporate officer’s attestation that the resolution was adopted in accordance with bylaws, including date and meeting type.

03

Third-Party Verification

Banks or agencies validate signer authority.

04

Common mistakes when preparing Mining Business Resolutions

  • Vague scope language that fails to state limits or parcel identifiers, leading to disputed authority or delayed bank acceptance.
  • Using informal or trade names instead of the exact legal entity name required by formation records and banks.
  • Skipping the corporate attestation or secretary certification, which causes third parties to request additional proof of minutes.
  • Relying on unsigned or improperly completed electronic copies without an audit trail that proves intent and attribution.

Consequences of defective or incomplete resolutions

Contract Invalidity: May void agreements signed without proper authority.
Bank Refusal: Financial institutions can decline to act.
Regulatory Delay: Permits or bonds can be postponed or rejected.
Liability Risk: Directors or officers may face exposure.
Tax Issues: Incorrect filings can trigger penalties.
Recordkeeping Gaps: Weak audit trails complicate due diligence.
