MINOR CONSENT AGREEMENT

Guardian agrees to indemnify, defend and hold harmless Recipient and its officers, directors, employees, volunteers and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with the Minor's participation in the activity, except to the extent such claims result from Recipient's gross negligence or willful misconduct.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Recipient's liability to Guardian or the Minor for any claim arising out of this Agreement or the Minor's participation in the activity is limited to direct damages and shall not include indirect, incidental, special or consequential damages. Nothing in this section is intended to limit any statutory protections for the Minor.

9. TERM, REVOCATION AND TERMINATION

This Agreement is effective as of the Effective Date set forth above and shall remain in effect until the completion of the activity or until revoked in writing by Guardian. Revocation shall be effective upon receipt by Recipient of written notice; however, revocation will not affect actions taken by Recipient in reliance on this Agreement prior to receipt of such notice.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses provided in the opening paragraph or to such other address as a party may designate in writing. Notice is effective upon personal delivery, confirmed facsimile or confirmed electronic mail, or three business days after deposit with the postal service.
