Approvals; Performance and Standards

Tenant shall submit detailed plans and specifications to Landlord for written approval prior to commencing work. Landlord Approval Provided:

All work shall be performed by appropriately licensed contractors, in a professional manner, in compliance with all applicable building codes, statutes and regulations. Tenant warrants that all permits, inspections and approvals required by law will be obtained and maintained at Tenant's expense.

Permits, Liens and Payment

Tenant shall pay all costs related to the Minor Works and shall promptly pay contractors and suppliers. Tenant shall provide Landlord with unconditional releases or waivers of liens upon completion or progress payments upon request. Landlord has the right, but not the obligation, to pay undisputed contractor invoices and charge the amounts to Tenant as additional rent if Tenant fails to timely pay.

Insurance, Indemnity and Risk Allocation

Tenant shall maintain commercial general liability insurance naming Landlord as additional insured with limits not less than per occurrence and provide certificates prior to commencement of work. Tenant shall maintain worker's compensation coverage as required by law.

Tenant agrees to indemnify, defend and hold Landlord harmless from and against all claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Tenant's performance of the Minor Works, except to the extent caused by Landlord's gross negligence or willful misconduct.

Restoration; Surrender of Premises

Upon expiration or earlier termination of the Lease, Tenant shall: (a) return the Premises to the condition required under the Lease; and (b) remove or leave in place the Minor Works as follows: Restoration Required:

Inspections; Access; Notices

Landlord or its agents may inspect the progress and quality of the Minor Works upon reasonable notice to Tenant. In emergencies, Landlord may enter without notice. All notices required by this Agreement shall be delivered in writing to the addresses set forth below.

Default; Remedies

A material breach by Tenant of any obligation with respect to the Minor Works that is not cured within the cure period specified in the Lease shall constitute a default under the Lease entitling Landlord to exercise any remedies available at law or in equity, including termination, repair at Tenant's expense, recovery of damages and withholding of security deposit as provided in the Lease.
